A business can defend an MCA lawsuit while pursuing a settlement, and it often should.

The decision distorts when the owner treats negotiation as surrender or assumes a plausible defense removes the need to budget for an agreement. Defense and settlement are parallel tracks, not opposite choices, and each one changes the price of the other.

Defend First, Decide in Parallel

Preserve the defense before choosing the outcome. New York practice sets deadlines to appear and answer once process is served, under the state rules on time to respond, and a missed deadline can forfeit defenses no settlement discussion will restore.

Opposing counsel in these cases tends to serve the papers and then call within days, before counsel is retained. What the owner admits, or volunteers, in that call can narrow the defense before it begins. Resist the urge to ignore the lawsuit while settlement talks proceed, and resist the urge to explain the case to the other side without counsel present, even briefly.

But a plausible defense is not a payment plan. The answer and the settlement budget should be built in the same week by different hands.

The Dispute That Changes the Result

Every defense lives in a folder with the agreement, the payment history, and the related communications. Counsel should review and analyze the agreement against the claim pleaded, because the enforceability question turns on substance rather than labels.

The Second Department decision in LG Funding tested an MCA agreement for substance, weighing reconciliation, finite term, and bankruptcy recourse, as described in the appellate opinion examining MCA characterization. The reconciliation clause, if we are being precise, proves nothing by its presence. The usury claim (which borrowers often assume ends every MCA dispute at the pleading stage) turns on substance, history, and jurisdiction rather than labels, and the characterization question is extremely fact specific.

One answer reviewed in this practice pleaded six affirmative defenses across four pages. In most matters seen in this practice, though the count is informal, only one of the pleaded defenses did real work. Buried in the exhibits, not the complaint, is the provision that decides the dispute, and a working defense reads the agreement, tests each element of the claim, and preserves every objection the record supports. Defense counsel reads the complaint the way a mechanic listens to an engine: for the sound that does not belong.

The Financial Alternative

The choice, reduced to its elements, is between the price of being right and the price of being finished.

Delancey Street can build the financial alternative while counsel builds the defense. It is a settlement company rather than a law firm, and independent counsel handles the litigation and any question of legal rights.

Ask the provider to ensure that the settlement math reflects funds available after operating expenses and litigation costs. Counsel should ensure that the defense calendar stays funded while talks proceed, because a lapsed deadline surrenders position no discount can replace.

Full Cost of Each Course

Weeks after the answer is filed, when motion practice looms, the owner revisits the settlement math with better information. Price the defense through the next milestone, not through trial, and price the settlement as a total outflow including provider charges, legal fees for documenting the deal, and the cost of financing any lump payment.

Most MCA complaints are drafted in order to make resistance look more expensive than surrender. The caption is part of the negotiation. Whether that analysis travels beyond New York is a question for counsel in the forum state, and the docket moves at a torpid pace until it does not.

No defense budget survives discovery intact, though every engagement letter pretends otherwise. The time to answer is extremely short, and claims against the business do not pause for settlement talks. Negotiate and document the terms of any interim arrangement, because an informal pause in collection is a courtesy with an expiration date nobody printed.

Terms That Bind the Agreement

Put every settlement term in the form the state rules on stipulation formalities require. An oral assurance binds nothing until it takes proper form.

The file should show who signed, when, and in what form.

What Completion Must Accomplish

A completed settlement should end the lawsuit with prejudice where applicable, release the company and the guarantors as negotiated, address collateral and filings, and bar revival of the balance on technical default without notice and cure. A completed defense should produce a judgment or dismissal the business can live with and afford.

Send the dismissal or satisfaction papers, the releases, and the accountings to the same folder that held the defenses. The folder, not the handshake, decides what was resolved. The meaningful question was never whether to fight or to deal. It was what each course would cost and what completion would prove.

FAQ

How much can debt settlement save?
Typical settlements range from 30–60 cents on the dollar, depending on the funder, contract terms, and legal leverage available.
Can I settle if a COJ has been filed?
Yes — but you need legal intervention, not just negotiation. Attorney-coordinated firms can file motions to vacate and stay enforcement.
How long does debt settlement take?
Specialized firms typically resolve cases in 2–6 months — much faster than general debt settlement programs.
Will it affect my credit score?
MCA debt is generally not reported to consumer credit bureaus, so settlement typically doesn't impact your personal credit.
