A financing statement never told any court how much a funder collects in bankruptcy. The public filing gives notice of a claimed interest, while the agreement and the collateral value and the perfection behind the filing decide what the claim is worth.
Three inquiries replace the label: the value supporting the claim, the character of the transaction, and the validity of the perfection. Each proceeds on its own records, and no one of them answers for the others.
Section 506 treats an allowed claim secured by a lien on estate property as secured to the extent of the relevant value, with the shortfall holding unsecured status. The statute addresses valuation in relation to purpose and proposed use or disposition, so the same lien can support extremely different measures in different cases.
As a simplified illustration, assume an allowed $80,000 claim with a valid lien supporting $50,000 of value for that creditor after analysis. The framework distinguishes the supported amount from the deficiency. The illustration decides nothing about how any chapter treats either portion, since treatment follows the plan and the claim priority rules rather than the arithmetic alone.
Valuation never rests on original equipment price or receivable face amount. Collectability and condition and competing interests and the governing standard all press on the figure, and counsel may need evidence rather than assertion. The claim amount itself can be disputed beside the value, because a valuation exercise never validated the fees or the purchased amount stated in a proof of claim.
In LG Funding v. United Senior Properties of Olathe, a New York appellate court examined reconciliation practice with term and bankruptcy recourse when considering whether the transaction involved absolute repayment. The decision allowed a defense to proceed on that record. It classified no other agreement sold under the advance label.
That limit matters because bankruptcy never takes the funder designation at face value. Calling the arrangement a purchase does not resolve whether asserted rights concern estate property or a secured claim or some further interest, and counsel should read the documents with the payment performance before assigning any category. A genuine sale of receivables should not be redescribed as an unsecured loan for want of a familiar lien document, since ownership questions precede ordinary secured claim treatment and demand their own analysis.
Start with the agreement with amendments and security documents and collection history. The classification inquiry grounds itself in those records rather than in marketing copy. Courts weigh reconciliation rights with finite versus absolute repayment and recourse on default. In 2019, before the recent wave of state scrutiny, many agreements recited reconciliation rights that daily debiting had already rendered ornamental.
Each funding packet earns separate treatment. No verified dataset ranks providers as secured or unsecured across the industry, so the business should never assume the answer travels from one funder to the next.
Where the provider asserts a secured claim, identify and describe the granting agreement and the property it covers, then compare the debtor name with the collateral description in the filing. The signed contract creates the interest, sometimes on extremely broad collateral language that later requires narrowing. The public filing perfects it or fails to, and the two instruments perform different work that reviewers conflate at their peril.
A financing statement gives notice without establishing enforceability in the amount claimed. Its absence from a search proves nothing in the other direction. The audit should gather and compare amendments with continuations, and the file should preserve search dates beside results.
Property type shapes the inquiry throughout, as accounts and equipment and deposit accounts and proceeds each present distinct issues that a claim of blanket coverage cannot flatten, and as proceeds demand tracing through accounts where collateral has moved or receipts have passed through several hands, and as competing creditors assert rights in the same property that leave less value for later claimants, and as filing dates inform priority without completing it where agreements or further rules intervene.
The trustee holds powers to challenge certain interests and transfers under the applicable provisions. Whether those powers touch this funder position is a legal question. A name change can sit behind a filing under an earlier business name. Keep the full sequence.
Three weeks after the petition, the abstract dispute becomes a distribution schedule. The audit performed before filing reads as prudence then.
A discharge does not extinguish every valid lien. Under the relevant process, property rights demand treatment, and relief from personal liability never permitted continued use of encumbered property free of the interest. That surprises owners who equated discharge with clear title.
The federal courts guide to Chapter 7 states the point in plain terms that owners overlook. Identity matters beside it: a company filing and a guarantor personal filing concern different estates, so determine which property and which person the asserted right reaches before describing any protection the case provides.
Delancey Street offers discussion of negotiated business debt options through its debt settlement service. The company acts as a settlement company, and a bankruptcy attorney should assess claim status with ownership disputes and treatment under any proposed case. Those determinations belong to counsel rather than to settlement marketing categories.
Carry the collateral analysis into the payment comparison, since an offer that assumes no secured position may rest on error while an offer accepting every claimed lien may overlook genuine dispute. Would a court sustain the lien at full value or trim it to the recoverable remainder? The settlement discussion cannot answer that in advance.
Ensure the agreement names the security rights released after performance, with filings and closing documents assigned to a responsible party. Ensure the proposal uses the position that review supports. A reduced balance alone can leave the property question open. Resist the urge to accept that opening as victory, since the most useful inquiry remains what right this claimant establishes against this property in this case.
That answer, once obtained, prices every option that follows.
Most funders accept 30–60% as a full settlement — with proper leverage.
