One payment can contain the same problem as several. A consolidation that changes the collection schedule without establishing that the old obligations will end has rearranged the calendar rather than reduced the debt.
Before the replacement funds arrive, before the first combined withdrawal leaves the account, the owner needs to trace both the money entering the business and the claims leaving it. A simpler bank statement helps only if the underlying position improves, and the lender approval reflects the lender appetite rather than a conclusion about yours.
Set the proposed collections against expected receipts with necessary operating expenses stated, and account for the window in which old and new debits run together. A smaller installment often travels with extended duration, added fees, or a heavier total, and the business needs the complete figure before deciding whether the reduction is sustainable.
Test the schedule against a weak but ordinary period. Include a late customer payment and the week an old debit and the new debit arrive together.
And the total matters more than the installment. Owners study the monthly figure while the contract answers a different question entirely, namely what the business will have paid when the last collection clears and what else that money could have covered. This is the question the brochure never poses. Resist the urge to approve that schedule on the strength of the first month alone.
Ask for a second calculation showing what happens if receipts decline after closing. No lender willingness to fund establishes an individual company capacity to carry the obligation. The exercise is extremely uncomfortable and extremely useful, and the forecast that survives it is the only one worth presenting to counsel.
Ask whether the proposal pays off existing advances at closing or supplies fresh funds while their collections continue, because products marketed with similar consolidation language perform different functions. Some retire the listed accounts. Others stack beside them. The brochure rarely volunteers the distinction, and the brochure carries an odd confidence for a document that answers so little.
Most originators prefer the owner to compare installments rather than totals. Simply obtain a written description of where the proceeds go, naming each account, the payoff amount, and any balance that remains. A fresh credit in the account proves arrival and nothing further, a fact the bank statement confirms without confirming anything else.
The product memorandum was, if we are being precise, a marketing document with a schedule attached rather than a commitment with terms defined. Any figure quoted by telephone, even briefly, should be confirmed in writing.
Obtain current payoff figures through the authorized channels for each account. An earlier statement balance rarely matches the sum required to close on the chosen date, and scheduled withdrawals keep moving the figure while the parties correspond. The exact number on any given day is less stable than the statements imply.
Ask which written confirmation the creditor issues after payment. Where a creditor claims a lien or a guaranty, counsel should review the documents required to address those rights, since payment in full and freedom from related claims are different things.

We review the schedule, confirm the transmitters, and document an arrangement that covers both the movement of money and the creation of proof, because it is extremely common to discover the missing assignment exactly that way.
Identify the replacement proceeds available after deductions and compare that sum with the total required to retire the listed accounts. Where the business must contribute additional money, show the contribution and its source in the same schedule, because an approval amount never establishes full funding. The ledger keeps this accounting honest.
In LG Funding v. United Senior Properties, a New York appellate court discussed reconciliation, finite term, and bankruptcy recourse when examining whether repayment was absolute. The decision does not make every advance invalid, but it shows why counsel should review and analyze the actual agreement rather than relying on the label the product carries.
If the existing advance permits reconciliation, assess that route before assuming replacement financing is the only answer to a decline in receipts. Governing law and contract performance matter (the case law here is less settled than either side claims), and a creditor may preserve rights in order to pursue a remaining balance against the business or a guarantor even after the headline debt appears addressed.
The surviving rights resemble the roots of a tree cut at ground level in late autumn: invisible through winter, fully present, and prepared to complicate whatever the owner plants in spring. Counsel walks the property before the planting, or the owner digs twice. I have yet to meet the owner who regretted reading these provisions first.
Counsel should explain any new guaranty or security term before the owner signs. The transaction succeeds only when the company carries the new payment with ease and can show what the old ones became; until that point fewer debits mean different formatting rather than less debt, which is a sentence that belongs at the end of this article but earns its place here.
Compare the replacement proposal with a negotiation plan built on the same balances and the same forecast. A settlement estimate may require payment at a different time from the consolidation closing, and the owner should see both the total cost and the dates on which funds must be available. What each creditor accepts, or declines, belongs in the same comparison.
