Forgiveness is the last chapter of an SBA file, not the first request an owner should make. The borrower who opens with a demand for cancellation has skipped the servicing conversation where relief is actually granted, and the file that follows that demand is harder to work than the file that preceded it.

An owner seeking SBA loan debt relief should first identify the program, the present holder of the loan, and the parties still liable. A current account, a loan in liquidation, and a debt referred for collection present different conversations, and each has its own address.

Where the Loan Sits Now

The first error in most of these files is correspondence sent to the wrong office. The originating lender, a loan service center, and Treasury do not occupy interchangeable positions, and a request delivered to a party without authority to grant it produces delay rather than review.

SBA Commercial Loan Service Center guidance describes distinct servicing and liquidation processes, including actions within delegated authority and actions requiring agency review. The SBA loan servicing guidance therefore sets the submission route, and the owner should establish that route before sending financial records into an office that can only forward them.

Begin with the original note and the latest servicing notice, record the program with the 7(a), 504, Express, or other designation, identify the lender or agency currently directing payment, and confirm the authorized recipient for any new request, since a servicing conversation conducted with the wrong counterparty can consume months the business does not have.

Simply label the loan accurately in the first message. Old contact details can remain in the inbox long after responsibility has moved, and the address on the file decides how quickly the file moves. The wrong address is an honest mistake. Most files contain one.

Keep every notice in date order. The chronology of who held the loan often matters as much as the balance.

Relief While the Business Operates

While the business remains viable, the servicing conversation should come before any request for compromise. The request should explain the cause of the difficulty and present cash information that supports a realistic payment proposal, including whether any change affects maturity or accrued charges. Cash information grounded in actual receipts is extremely persuasive to a servicing officer.

Do not assume every servicer offers the same modification, deferment, or the approval standard the current servicer applies to accounts at this stage. Ask what is available for the specific program and obtain the documentation requirements in writing. Any oral guidance from the servicer, even briefly, should be confirmed in a message the file retains.

The servicing conversation is where viable businesses obtain relief, and owners who skip it in favor of demanding cancellation usually return to it later with less time. That is the usual order of events. Whether this forecast convinces the servicing officer is a question the owner cannot answer from this side of the desk.

Have an adviser review and analyze the forecast. Where stacked advances contribute to the problem, assessment of those accounts may belong beside the lender conversation, with legal matters kept within independently licensed counsel. A funder pursuing its own remedies against the business in order to collect ahead of the servicing decision can narrow the options while the lender review is pending.


The Boundary Around COVID EIDL

COVID EIDL requires particular care. SBA Form 1150 information states that COVID EIDL balances cannot be forgiven, and a general advertisement for SBA settlement should not be read as contradicting the agency published position. The loan cannot be forgiven. It can still be serviced.

There are other programs with other rules, though in practice the owner needs the rule for this loan rather than a survey of all of them. There is a peculiar optimism in shopping for forgiveness before identifying the loan. Identify the program first and argue about relief second.

Compromise and Its Conditions

Rarely does an operating business qualify for compromise on the basis of weak revenue alone. SBA guidance describes an offer in compromise for eligible obligors unable to pay a deficiency after collateral has been liquidated (program instructions vary, and the latest notice controls). Form 1150 with Form 770 or a business financial statement forms part of each submission, and approval is not established by filing the papers.

That framework differs from an operating business asking for a discount because revenue has weakened. The collateral, the remaining resources, and the recovery prospects as a whole decide whether an offer can be considered.

A company should not liquidate assets or close merely because compromise was presented as a convenient next step. Those decisions carry ownership, tax, and legal consequences beyond the SBA file, including claims other creditors may assert against company assets during the same period.

The agency prices the offer against recovery. Hope is not a line item.

Each person or entity seeking compromise must supply financial information, and the address for that submission is the office identified in the first section, not the office remembered from origination. Counsel should ensure the proposal addresses each obligor whose liability is intended to end and ensure that the source of settlement funds is stated with its conditions.

The Guarantor and the Tax Bill

The business position and the owner position may differ. A guaranty can create exposure that survives changes in company operations, and releasing one obligor should not be assumed to release another. What the guarantor signed, or failed to read, before funding governs what settlement can release.

The IRS explains that canceled debt can create taxable income, with exceptions and exclusions for qualifying circumstances. The IRS guidance on canceled debt belongs in the assessment beside fees, since a headline reduction can leave a different result after service charges and tax treatment.
