Two signatures on one financing do not compose a single defense. Each partner answers for the undertaking that bears a personal name, and the complaint must be measured against each signature in turn.
When papers arrive at different addresses on different days, the first task belongs to the documents rather than to loyalty.
The guaranty decides the exposure. Place the two undertakings beside the underlying agreement and read and compare the signatory, the obligation promised, and the event the creditor says triggered liability.
Do not assume the documents match because the partners signed during the same transaction. A renewal or amendment may bind one partner to terms the other did not accept. The funds belonged to the business from the first day. Liability followed the signatures, not the bank account. Paper signed at midnight in a parked car carries the same weight as paper signed at counsel table.
An internal agreement dividing responsibility between the partners deserves retention, though in practice such papers tend to confirm the creditor position. The partners’ allocation, without more, does not establish a release from the funder.
Twenty days after service is the period the statute names. Under New York rules for a defendant appearance, the defendant appears by serving an answer or a notice of appearance, or by making a motion that extends the time to answer. Appearance within twenty days follows ordinary service, while service through specified substituted methods allows thirty days. The period is extremely short for partners who learn of the suit late.
One partner may receive papers days before the other, through a different method, and the temptation is to calculate both deadlines from a single conversation at the shop. The methods matter because the clock follows the method, and a partner who assumes coverage under a joint response may discover the error after the clerk enters judgment. Extensions should be retained in writing, with attention to the parties they name.
An appearance, subject to stated exceptions, equals personal service unless a jurisdictional objection is preserved by motion or answer. Most creditors hope the objection is waived in the rush to respond. This is where haste costs the most. The exceptions turn on jurisdiction based on attachment, of narrow application to MCA files, or so the reported cases suggest. A remark about the debt to the process server, even casually, should be left unsaid.
Resist the urge to answer for both defendants in a single filing prepared without counsel. Simply confirm with counsel who appears for whom before anything is served.
A shared desire to reduce the debt does not make one lawyer sufficient for two defendants. The partners should disclose disagreements about signing authority, payment decisions, and responsibility for the account before confidential facts are treated as common to both. The conflict question is extremely sensitive to the facts of signing and payment.
Joint representation fails the moment one partner’s best outcome requires the other’s worst fact.
Counsel needs the actual records of who handled the application, who received the funds, and the correspondence that shows who communicated about adjustments, since ownership percentage is no substitute for the guaranty language.
The funder’s arithmetic can look outlandish to a partner with no view of the ledger. The lending party structured the demands in order to press the partner with reachable income, and settlement discussions should reflect that pressure rather than deny it.
If one partner explores a separate settlement, counsel should hear of it before terms are discussed, since the proposal may alter the remaining dispute.
A confession of judgment, where one exists, changes the posture before any answer is due. New York confession of judgment procedure requires an affidavit executed by the defendant stating the sum, authorizing entry, and stating the county of residence with the facts of the debt. Filing follows within three years, in the county of residence at execution or at filing, and the clerk taxes costs of fifteen dollars.
Where joint debtors do not unite in the confession, the statute provides that judgment shall be entered and enforced against only those who confessed, and the judgment is no bar to an action against the others on the same demand. The provision is narrow. Its scope ends at the confessors.
Whether a confession signed at origination survives scrutiny of its affidavit and county of filing is a matter for counsel in each file. Most partners discover the confession when the bank account freezes. I understand why no one reads the stack at signing. I am less certain than the statute’s plain text about how trial courts treat stale affidavits.
Each partner should gather and organize a complete set of the financing documents, the court papers with service records, and the payment ledger showing every debit through the last one. Separate files prevent confusion about who signed which version.
Copies suffice for review. The originals stay where both partners can find them.
Seldom does a single answer fit two guarantors. Delancey Street operates as a settlement company for MCA and business debt, not as a law firm. The partners can submit the file for a commercial review while independent counsel resolves the questions of joint representation and individual exposure. Loyalty survives the process better when the strategy respects the signatures.
Partnerships end faster than guarantees do, though the reported outcomes of joint guarantor cases are thinner than this article can convey. The objective is to ensure each partner understands the obligation that bears a personal name, and to ensure no joint filing conceals a separate defense. A first call with the settlement team begins the diagnosis and obligates neither partner to anything further.
Most funders accept 30–60% as a full settlement — with proper leverage.
