A Texas address does not answer whether the New York court can hear the MCA claim. The contract, the asserted basis for jurisdiction and the way the defendant responds must be examined before treating the location as either inevitable or defective.
Preserve the entire agreement and the court papers as received. A sentence selecting governing law can raise a different question from a provision selecting a court or consenting to jurisdiction.
Read and construe the agreement for the actual language concerning forum, jurisdiction and governing law. Those provisions do not perform the same function because they appear in the same paragraph. Seldom is the forum clause the only clause that matters. Most forum clauses are read for the first time by the defendant, and the second time by no one.
Retain the executed version and any amendments. A clause from a later renewal should not be substituted for the agreement on which the lawsuit is based without establishing its relevance. You read the clause after you are sued on it.
If the signature is disputed, ensure that the supporting records reach counsel before positions harden.
The complaint should be compared with the contract. Counsel needs to know what basis the claimant asserts against a Texas business for proceeding in New York and whether the documents support that position. The forum clause arrives at the first conference call already highlighted.
An agreement selecting New York law does not, by its wording alone, answer every question about consent to suit. The legal effect requires analysis of the actual provision and the applicable authority, a question on which this article offers no general answer.
The clause decides less than its placement suggests.
But receiving papers does not establish that every requirement has been satisfied. Counsel should examine the asserted basis for jurisdiction and the service record as related but distinct questions.
New York dismissal motion practice under CPLR 3211 includes lack of personal jurisdiction as a ground for dismissal. The rule also contains requirements concerning when objections must be raised and when they are waived. The sixty day service objection rule and the personal jurisdiction waiver rule operate on different clocks.
With the summons and complaint in hand, the defendant should supply the date and manner of receipt and the records concerning the address used. Counsel should compare the summons, the complaint and the proof of service filed with the court, and obtain the filing where it is missing.
Do not assume that a business owner can ignore a New York complaint because the business operates elsewhere. A supported objection must be handled through the appropriate response, though the deadline does not wait for confidence.
New York appearance rules under CPLR 320 describe appearance by answer, by notice of appearance or by a motion that extends the time to answer. The owner should plan the response before sending an improvised filing. Resist the urge to answer the merits before the objections are preserved.
In the ordinary course, the appearance deadline runs twenty days after service of the summons, and thirty days where service was made through specified channels, including delivery to a state official authorized to receive it. An appearance is equivalent to personal service of the summons unless a lack of personal jurisdiction objection is asserted by motion or in the answer as the rule provides. The procedure assumes defendants calendar like law firms.
The waiver provisions repay close reading, because an objection based on lack of personal jurisdiction is waived if the defendant moves on other dismissal grounds without raising it, or if, having made no motion, the defendant fails to raise it in the responsive pleading, while objections founded on documentary evidence and several other specified grounds are waived unless raised either by motion or in the pleading, and while three specified objections may be raised at a later time.
An improper service objection carries its own timetable, which is, if we are being precise, a second clock inside the first: a defendant who raises it in a pleading must move for judgment on that ground within sixty days after serving the pleading, absent an extension for undue hardship. The sixty day measure is extremely unforgiving, and the opposition papers must include a copy of the proof of service in every case.
A motion before the responsive pleading extends the time to serve the pleading until ten days after service of notice of entry of the order. Retain proof of any agreed extension, since a discussion with the funder representative should not be treated as permission to disregard the court timetable, however cordial the voice on the call.
Counsel should determine whether a motion, an answer or another response fits the documents and deadlines. What the defendant files, or fails to file, in the first response shapes everything after.
Every defendant in the caption needs separate identification. An answer concerning one party should not be assumed to protect every other named party.
The company and the person may have different documents or service histories. The caption treats them as one lawsuit. Behind that caption may sit two different service histories.
Ensure that counsel receives the records showing which agreement each defendant accepted. A company signature, an individual guaranty and a later amendment can raise different questions about the forum provision. Whether one lawyer can speak for both company and guarantor is a question the engagement letter answers better than any article.
One response should not be assumed to fit both company and guarantor before their interests are assessed.
Delancey Street offers a review of the MCA obligation for owners answering litigation in New York, and a Delancey Street review of MCA settlement options can provide a starting point beside a response deadline. Delancey Street is a settlement company, not a law firm; forum, jurisdiction and service require independent counsel.
Get the scope and fees in writing first. A settlement proposal does not establish that the New York court lacks jurisdiction or that the deadline to respond has changed, and no provider can ensure creditor acceptance or a dismissal. The response deadline is extremely indifferent to negotiation.
A payment offer should identify the parties it would resolve. A proposal concerning the business account may leave uncertainty about the individual guarantor unless the agreement addresses that person. This decides more than the amount.
The owner should not make admissions about a disputed contract or forum provision without discussing their effect. If the parties settle, negotiate and document an outcome that resolves the caption as filed, so the forum question ends in the file rather than in a letter.
Most funders accept 30–60% as a full settlement — with proper leverage.
