Settlement pays the balance. Paperwork retires the lien, and the two events follow different calendars under different rules, which is why paid debts continue to encumber businesses long after the wire clears.
Six outcomes cover the filings an owner meets after settlement. Each turns on documents rather than on assurances, and each rewards the owner who treats the public record as a second negotiation running beside the first.
The procedure is extremely exacting, and the filing casts a shadow beyond the paid balance until the procedure is followed. New York law requires the secured party, within twenty days after receiving a signed demand from the debtor, to send or file a termination statement where no obligation remains secured and no commitment to advance further value stands, with a one month outer measure in the consumer goods setting and with the filed financing statement ceasing to be effective upon the termination filing, so counsel calendars the demand, the response, and the confirmation as three separate events rather than one.
Send and record the demand by a method that proves delivery (memory does not file). The demand must identify the financing statement with enough precision that the secured party of record cannot misplace it without explanation.
The wire ends the debt; only the filing office ends the lien.
After the wire clears, the filing remains. Often the filing outlives the debt by years, since payoff alone satisfies none of the statutory conditions where a commitment to advance survives, where other secured obligations continue, or where the collateral category carries its own rule.
You pay the balance and then you discover the filing has a life of its own. A satisfied balance with an active filing is a paid debt wearing a lien. The distinction is extremely technical, and the filing is closed only when the record says so, so no verbal assurance of release, even casually given, substitutes for the filed statement.
Twenty days after the signed demand leaves the office, the calendar starts working for the owner. The statute permits a debtor filed termination only where the secured party of record has failed in its termination duty, with the statement indicating that the debtor authorized the filing.
The statute permits a debtor filed termination. The permission is narrower than owners assume. Secured parties in these files tend to answer demands with payoff quotes rather than with termination statements, which explains the temptation and none of the lawfulness. Resist the urge to file your own termination the day the wire clears; an unauthorized filing invites the dispute the settlement just concluded.
Termination ends effectiveness. It does not rewrite history. Experian business reports draw on creditors, vendors, public records, and collection agencies, and the bureau states that its reports show judgments, UCC filings, and accounts in collection alongside payment behavior on commercial obligations.
Filings are extremely durable on business reports, with the sleepy persistence of old entries that outlast the disputes behind them (bureau handling times vary; counsel confirms correction against the actual report rather than against expectation). Pull the business report and the personal one as different documents, since the two use different information and different scoring, and dispute errors through the channels the bureau provides.
Before the sale closes, the lien must be addressed. The governing rule continues a security interest in collateral despite disposition unless the secured party authorized a free and clear transfer, attaching instead to identifiable proceeds, subject to statutory exceptions.
Buyers discount encumbered assets in order to price the risk of a lien surfacing at closing. I cannot say from this desk how a given buyer will read an old filing. Authorization, payoff, release, and guaranty treatment each require separate documentation before funds change hands.
What the owner keeps, or discards, after settlement determines the cost of the next financing. Simply assemble four documents and search and confirm the record they describe:
Most owners stop reading at the release letter. The search is the document I keep on top, since no phone confirmation, even briefly reassuring, replaces the filed statement. Counsel ensures the release letter, the acknowledgment, and the fresh search agree with one another on name, jurisdiction, and the collateral description the search must match.
The shadow lifts from the report only when the record, not the creditor, says it lifts. Delancey Street, a debt settlement company that coordinates with independently licensed counsel for legal work, ensures termination demands, lien searches, and written releases proceed on one calendar beginning with a free confidential initial review.
Most funders accept 30–60% as a full settlement — with proper leverage.
