Consolidation fails most often at the point where the new loan is signed, because the old obligations were never examined with the skepticism the new lender applied to the borrower.

Each scenario below is a hypothetical composite drawn from the procedures and limits in the cited sources, not a client account. Counsel should test every one against the signed agreements before the owner acts on it.

The SBA Refinance That Requires Collateral Liquidation First

SBA 7(a) guarantees extend to participating lenders for working capital and for refinancing current business debt where eligibility is met. The guaranty protects the lender under its terms. It does not erase the borrower obligation, and no approval arrives automatically because a broker described the program favorably.

An attorney should confirm the purpose eligibility of each debt to be refinanced, the current lender and program rules, and whether the existing funder holds collateral that must be addressed before the new loan funds. SBA compromise practice considers resolution of a deficiency after collateral liquidation where the obligor cannot pay the full balance, with financial statements required for each person and entity seeking compromise. The file that treats refinancing as a payoff without a collateral plan invites a second lien dispute within the year.

The Single Funder Settlement While Debits Continue Elsewhere

A merchant with stacked advances settles with one funder and assumes the breathing room applies across the board. It does not. Private settlement creates no automatic stay, and each remaining agreement continues to authorize its own debits until amended, reconciled or released in a signed record. The settled funder stops because the settlement says so. The others never received a paper that mentions them, and their debits proceed on the original schedule while the owner mistakes one signature for peace.

Chapter 11 guidance notes that filing generally triggers an automatic stay with exceptions, a protection that negotiation alone never produces. Resist the urge to instruct the bank to return the remaining debits as unauthorized. Nacha return reason guidance distinguishes insufficient funds from authorization defects, and business accounts carry different windows than consumer accounts. A false unauthorized claim alters the posture of the case against the merchant, even briefly, and counsel should review any bank instruction before it issues.

The Business Sale With Liens Still Attached

The buyer wires the price, the seller retires, and the funder’s security interest follows the collateral into the buyer’s hands. New York law on disposition of collateral provides that a security interest generally continues in the collateral despite disposition unless the secured party authorized a free and clear disposition, and attaches to identifiable proceeds subject to statutory exceptions.

Three closings this year alone turned on this rule, if recollection of the closing dates holds. The sale agreement, the payoff letters, the written authorization and the releases of each obligor and guarantor require separate review, because a UCC filing alone proves neither the debt amount nor its enforceability. The purchase price should be allocated with the lien releases as a closing condition, not as a post closing errand.

The Payoff Without a Lien Termination

Payment ends the economic dispute. It does not clean the public record. Termination procedure generally requires the secured party to send or file a termination within twenty days after a signed debtor demand when the specified conditions are met, including the absence of remaining secured obligations or commitments.

The demand must be signed.

Payoff alone never authorizes the debtor to file whatever termination it pleases.

The Discount That Becomes Taxable Income

A six figure settlement discount feels like a victory until the information return arrives. Canceled debt guidance explains that canceled debt can constitute taxable income, with exclusions including bankruptcy and insolvency subject to requirements, and with entity structure and tax classification affecting the result.

But not every settlement produces tax, and not every distressed borrower qualifies for exclusion. The allocation of the forgiven amount, the solvency calculation and the classification of the obligor belong in the settlement review before signatures, because the tax year closes whether or not the parties remembered it.

The Entity Settlement That Leaves the Guaranty Alive

The company settles. The owner discovers the guaranty was, if we are being precise, a separate obligation all along. New York courts treat the guaranty as distinct from the underlying contract, with breach of guaranty claims dependent on the underlying cause, and a bankruptcy filing by the debtor does not automatically protect all guarantors.

Every release in the settlement must name the released parties with care: funder, servicer, affiliates and assignees, each covered agreement by date and account, and each guarantor individually. An instrument that releases the merchant and forgets the individual guarantor has settled half the exposure at full price. Whether counsel intended that result or merely failed to prevent it is a question worth considering.

The New Loan That Stacks Instead of Replacing

The consolidation loan funds on Tuesday. The old funder debits on Wednesday, because no one delivered an effective redirection or obtained the consents the old agreement requires. Texas covered financing law, for transactions within its scope, bars establishing automatic debit mechanisms unless the provider holds a validly perfected first priority interest in the recipient’s accounts, a reminder that debit priority is a legal conclusion rather than a calendar race.

The consolidation agreement should identify the actual lender, state which obligations it retires, and condition disbursement on dated payoff and release letters. Funds that land in an account with active sweeps apply to the oldest debit first, which the disbursement schedule should reflect.

The Closure Elected Merely to Qualify for Relief

One competitor’s qualifications page expresses a preference for already closed businesses, and owners read that preference as advice. It is not. IRS compromise guidance conditions offers on filed returns, current compliance and continuing compliance over years, with default restoring the original liability less credits, and an open bankruptcy prevents eligibility entirely.

Closing a viable business merely to qualify for a program destroys the cash flow that would fund any settlement and may breach obligations the closure was meant to escape. Delancey Street is a settlement company, not a law firm. It provides a free confidential initial review of business debt options and ensures the file is organized before independently licensed counsel evaluates the legal positions. A first call costs nothing and assumes nothing; it is the beginning of a diagnosis.

FAQ

How much can debt settlement save?
Typical settlements range from 30–60 cents on the dollar, depending on the funder, contract terms, and legal leverage available.
Can I settle if a COJ has been filed?
Yes — but you need legal intervention, not just negotiation. Attorney-coordinated firms can file motions to vacate and stay enforcement.
How long does debt settlement take?
Specialized firms typically resolve cases in 2–6 months — much faster than general debt settlement programs.
Will it affect my credit score?
MCA debt is generally not reported to consumer credit bureaus, so settlement typically doesn't impact your personal credit.
