The consolidation loan does not replace your obligations. It rearranges them around a single signature, and the personal guarantee is the instrument of that rearrangement.

Before any signature, before counsel has marked a single page, the guarantee has already decided who pays when the business cannot, and that decision deserves more attention than the monthly payment figure every borrower circles first.

The Guarantee Itself

In 2020, a New York appellate court examined a merchant agreement and weighed whether repayment was absolute or contingent, looking past labels to substance. LG Funding, LLC v United Senior Props. of Olathe, LLC, 181 AD3d 664, treats the transaction as a whole and judges its real character, and the same reading applies to the guarantee stapled to a consolidation loan.

Owner exposure flows from the signed guaranty rather than from theories about piercing the entity veil, and no conversation with the broker alters that allocation once the document is executed.

Performance Language and Payment Language

Some guarantees promise payment of every dollar while others promise performance of the representations and covenants, a narrower frame that a New York court later treated as a guaranty of performance and not of payment in the Richmond Capital record. The distinction sounds academic until the balance is disputed, and it governs what the lender must prove against the owner personally.

A companion rule from the Fourth Department ties the two claims together, since the breach of guaranty claim was held dependent on the success of the breach of contract claim in Bridge Funding Cap LLC v SimonExpress Pizza, LLC, 2025 NY Slip Op 04306. Whether that dependency helps in any particular case is a question worth considering alongside the choice of law clause and the forum the agreement selects.

Direct lending pages show how routinely the two travel together: OnDeck answers to frequent borrower questions describe secured term loans as carrying a general business asset lien plus a personal guarantee, while QuickBooks explains its WebBank issued term loans as requiring a personal guarantee with weekly or monthly debits.

The Lien Behind the Loan

The guarantee rarely travels alone, because behind it usually sits a security interest in business assets that survives events borrowers assume would end it. Under New York law the interest generally continues in collateral despite disposition unless the secured party authorized a transfer free and clear, attaching instead to identifiable proceeds, a rule stated in the statute on a secured party rights on disposition.

A borrower who consolidates three advances into one loan while operating from the same receivables, then pledges those receivables again in the new security agreement, has built overlapping claims on one revenue stream that no payoff letter addresses unless each filing is released in turn (a release the new lender demands before funding).

Confession of Judgment Provisions

Some consolidation documents contain a confession of judgment clause, and the effect is extremely easy to underestimate. New York permits entry of judgment on a signed sworn affidavit stating the debt, subject to county of residence limits and a three year filing window under the confession of judgment procedure.

Reporting and the Credit File

Borrowers often assume the guarantee either ruins personal credit at once or leaves it untouched, and neither assumption survives contact with the actual reports. Business credit reports can reflect filings, judgments and collections while personal consequences depend on provider policies and actual reporting, a separation the Experian explanation of business credit reports describes.

A guarantee is a contractual exposure rather than proof that any particular reporting occurred, and in most of the files we have seen, though the sample is not scientific, the reporting lagged the default by months.

The guarantee does not describe your risk. It assigns your risk to a second balance sheet and waits.

What Consolidation Leaves Outstanding

Consolidation marketing implies retirement of the old debts, though the mechanics are less tidy. One provider describes consolidation as incoming weekly debits paired with outgoing daily debits, an arrangement that manages cash flow without proving the prior balances were satisfied with releases, so that money moves while obligations linger.

Old confessions, old guarantees and old filings survive unless each is released in writing, and a borrower who signs the new guarantee while the old guarantees remain live has doubled the surface a creditor can proceed against in order to simplify payments that were never the actual problem, which is the peculiar arithmetic of consolidation.

Tax Consequences of Forgiven Balances

Where consolidation shades into settlement of part of the old balances, the forgiven portion can count as income. Canceled debt is generally taxable with exceptions including bankruptcy and insolvency, subject to requirements explained in the IRS discussion of canceled debt and the companion publication on forgiven debt exclusions.

Documentation decides the amount, since the lender reports what it forgave and the borrower proves insolvency or exclusion. Certain tax resolutions can require five years of continuing compliance.


The Release You Must Demand in Writing

Every obligation the consolidation retires should produce paper proving it, and New York law generally requires the secured party to send or file a termination within 20 days after a signed debtor demand once specified conditions are met, under the termination statement procedure, and payoff alone never files anything by itself.

Simply demand written payoff confirmation for every retired balance, termination of each financing statement, release of each guarantee naming the guarantor, and dismissal or satisfaction paperwork for any filed confession before the first payment on the new loan leaves the account.
