The seller account restriction and the MCA default arrived in the same month, which establishes timing, not causation.

An FBA seller facing both should explain each through its own documents. No inspected source connects MCA nonpayment to Amazon enforcement action, and the financing review needs the provider agreement, the inventory record, and the platform notice before it needs theories.

Financing Providers and Product Identification

The counterparty question decides the rest of the file, so locate the agreement the business accepted and identify the product named in it. Amazon overview of Lending products describes financing offered through outside providers and distinguishes term loans, merchant cash advances, and whatever line of credit product the offer actually names.

Often we see the platform loan and the outside MCA negotiated as one debt. Amazon role in presenting an offer does not make every product an Amazon loan, and a separate MCA obtained outside the platform should remain distinct from platform presented financing, since each provider drafted its remedies in order to reach the same revenue first. Any call with the provider about platform proceeds, even briefly, deserves a written record.

Record the product, the payment method, and the obligations as the documents state them. Marketing descriptions for one advance prove nothing about the terms of another.

Inventory Records and Collateral Claims

Before any proceeds are promised, the inventory schedule deserves line level verification, so retain dated reports that track changes between the demand and any proposed transaction, with ownership, location, and the financing documents behind each line recorded rather than assumed from a single total.

The provider (which, it deserves mention, drafted the collateral description before the seller expanded into two additional prep centers whose invoices never entered the funding file) may still describe every unit alike. Rarely does a financing statement describe FBA goods with precision.

New York rules on collateral after disposition address continuation of a security interest and attachment to identifiable proceeds. Subject to stated exceptions, the statute grants no MCA filing automatic rights in every unit of inventory, which leaves counsel to review and analyze the security agreement with the governing jurisdiction.

The demand letter threatens. The platform notice instructs. Only one of them was written by someone who can close the store.

Most providers know the inventory schedule is stale. They send the demand on the old figures. The financing statement names collateral the way a weather forecast names rain: with confidence about the category and vagueness about where it lands, and the so-called blanket lien deserves an outlandish reading only where the documents support one. In something like half the demands we have reviewed, the FBA quantity is overstated.

Consider a hypothetical demand that claims FBA units the seller had already returned to the supplier. The defense in that scenario is the return record, not the financing statement. The listing price states a retail aspiration. The liquidation value obeys a wholesale market. Forecast from the proposed transaction with its costs. Price tags flatter the file. Keep the records that show what the seller owned when the claim against the inventory was made.

Account Notices and Operational Responses

Preserve the complete platform notice with the explanation it provides. What caused the restriction? The notice states the reason Amazon will defend. A seller notice running to four pages, with the stated reason buried on page three, rewards a reader who reaches the end before connecting the action to any financing dispute.

Preserve the MCA demand in its original form as well. Compare the parties and claims without treating a funder threat as proof of Amazon policy, and direct the appeal to the platform notice, not the demand letter.

Whether the restriction would have arrived without the cash shortage is a question the file cannot answer.

Where the notice requires a response, follow the platform instructions for process and documents. What the seller discloses, or withholds, in the appeal record follows the seller into every later review. Consult and contact counsel before changing any collection instruction, and resist the urge to promise the provider a reopening date the platform never gave.

Do not promise a settlement provider that the store resumes sales on a particular date. I have yet to see a projected reopening date hold, though every forecast includes one. A recovery forecast should display the uncertainty rather than hide it in projected revenue, though the pressure to show a recovery date.

Cash Forecasts After Fees and Restocking

The settlement report, not the sales dashboard, shows money available for the financing payment. Use the settlement reports with fees, refunds, and the adjustments buried in the settlement lines. The settlement report has the real figures.

Include the cost of replenishing inventory if the business intends to continue. A proposal that consumes every receipt can leave the seller without stock for the next payment (advertising estimates, in our experience, run optimistic more often than pessimistic, though the sample is small). Where the margin after fees is extremely thin, the forecast should state the figure without padding.

Separate revenue from completed sales from projections that depend on the restriction lifting. The latter remains an assumption, visible as such. Those dated reports from the inventory section earn their keep here.
