The franchise agreement decides what the MCA agreement cannot. A franchisee carrying advance debt must read the financing and franchise documents together before accepting any lien, payment plan or ownership change the franchisor has not approved.

1. Disclosure Document and Signed Agreement Are Different Instruments

The FTC Franchise Rule explanation describes the disclosure document given to prospective franchisees, covering more than twenty categories of information about the system, its officers, its litigation history and its costs. That disclosure framework explains the purchase; it does not govern the relationship after signing.

Obtain the executed franchise agreement with all amendments and notices. Keep the disclosure document from the transaction rather than assuming the current version used by the system establishes the terms this business accepted.

Identify the franchisee entity and any personal undertaking given alongside it. A franchisor, an operating company and the individual who guaranteed an obligation are separate parties whose rights require separate attention, and settlement with one does not by itself release the others.

2. Consent Provisions for Liens and Borrowing

Read the agreement for provisions concerning liens, borrowing and assignment, then ask counsel whether the advance and its filed statements implicate any of them. Many franchise agreements require written consent before the franchisee grants a security interest in franchise assets, and a funder filing made without that consent can place the franchisee in default under a contract the funder never signed.

And consent, where the agreement requires it, is a letter obtained before the filing, not a conversation recalled after it.

The consent file functions the way a building permit functions on a renovation already finished: easy to describe as a technicality, extremely expensive to reconstruct after the inspector arrives (the franchisor, which counsel for franchise systems will insist is merely protecting brand uniformity, measures compliance in paper, not in explanations).

3. Assignment and Change of Control Terms

Where settlement contemplates a sale of the franchised business, the assignment provisions decide whether the sale can close. Franchisors commonly reserve approval rights over transfers, impose conditions on new operators and retain remedies where control changes without permission.

There are shortcuts, though in practice they tend to confirm the rule. A buyer who pays the MCA settlement without securing franchisor approval may acquire liabilities without acquiring the right to operate under the brand.

Map the approval procedure, the fees and the training or improvement conditions before marketing the unit. The purchase price should reflect the cost of conditions the franchisor is entitled to impose.

4. Default, Cure and Termination Sequence

Linked default provisions can carry a breach from one agreement into another, so that a missed advance payment becomes, through the franchise agreement terms, a franchise default with its own cure period and termination risk. The agreements must be read as a chain rather than as isolated bargains.

A cure notice under the franchise agreement establishes deadlines the MCA negotiation does not suspend. Give counsel every notice received under either instrument with the calendar each one imposes.

You cure the franchise default and then you discover the advance default has matured beside it. Owners who sequence the cures by envelope size rather than by deadline learn the priority the documents already stated.

New York law on sale of collateral subject to a security interest adds a further term to the sequence, since a security interest generally continues in collateral despite disposition unless the secured party authorized a transfer free of the interest. Equipment sold with the unit may carry the lien into the buyer hands.


5. Settlement Review With Both Agreements on the Table
