The Kentucky merchant behind on funding advances stands where the equipment sits, since the code lets a perfected party redirect receivables and retake machines without prior notice, while deception remedies, exemption caps, and guarantor rules write the boundaries the collector cannot cross.
Seven Kentucky authorities compose the position below, taken in file order.
Receivables redirection begins with default and an agreement, not with a court order. Under the Kentucky collection and enforcement provision, after default and as agreed, a secured party may notify account debtors to remit payment to it, take proceeds due, enforce account debtor obligations while exercising the debtor rights, and apply controlled deposit account balances to the secured obligation.
An MCA funder invokes this section to redirect a merchant receipts, and the debtor response contests default, perfection, and the scope of the agreement authorizing direct collection. You pay the funder and then you learn the payment admitted the default.
Equipment seizure threats in Kentucky carry statutory backing within strict limits. After default a secured party may take possession of collateral, render equipment unusable without removal and dispose of it on the debtor premises, proceeding with or without judicial process so long as no breach of the peace occurs, and may require the debtor to assemble collateral at a reasonably convenient place.
The breach of the peace limit and the default predicate bound every threat. Counsel should review and analyze the default notice, the payment history, and the repossession conduct together, since collectors describe self help as unconstrained while the statute conditions it twice in a single sentence. The repossession was peaceful. The default behind it was disputed.
Deception connected to commerce with small businesses meets a broad prohibition. Unfair, false, misleading, or deceptive acts or practices in any trade or commerce stand declared unlawful, with unfair construed to mean unconscionable.
The section reaches deceptive funding terms and collection conduct alike. And its breadth matters because advance agreements live in the space between sale and loan, where characterization fights are won, a space the Act polices without regard to the label the drafter selected.
The label on the agreement describes the drafter. The duties inside describe the deal.
Any person who purchases or leases goods or services primarily for personal, family, or household purposes and suffers ascertainable loss of money or property from a practice unlawful under the deception section may sue for actual damages plus equitable relief, within the stated limitations period.
Where a business principal also qualifies, through guarantee obligations or household purpose dealings, this section supplies a damages counterclaim behind settlement demands. The qualification is narrow, and I am less certain than the preceding paragraph might suggest about how often advance guarantors satisfy it, yet the counterclaim needs only plausibility at the demand stage to change the arithmetic of settlement, and plausibility here costs little beyond careful pleading.
Eight percent per annum is the legal rate framework, absent the separate tort provision, yet parties may agree in writing to higher rates along a defined gradient: up to the lesser of the Federal Reserve ninety day commercial paper discount rate plus four percent or nineteen percent on written obligations of fifteen thousand dollars or less, and at any rate on written obligations over fifteen thousand dollars, with assumptors and guarantors bound by its terms and post default interest running at the contract rate or the legal rate where none was stated.
Most MCA scale commercial deals fall in the over fifteen thousand dollar any rate tier, a classification funders invoke in order to present usury argument as frivolous, so bargaining weight must come from recharacterization or deception theories rather than the rate alone, while guarantor liability under the section is explicit and must be priced into every settlement (a guarantor who signed without reading the assumption clause, as guarantors in owner operated enterprises almost always do, remains bound by its text, though the deception counterclaim above may offset what the guarantee secures).
An individual resident debtor keeps defined personal property from process, including household furnishings, jewelry, clothing, and ornaments up to three thousand dollars, farming tools, equipment, and livestock up to three thousand dollars, one motor vehicle with accessories up to twenty five hundred dollars, prescribed health aids, and health savings account funds, while garnishment of any work week aggregate disposable earnings may not exceed the lesser of twenty five percent or the excess over thirty times the federal minimum wage, subject to stated exceptions.
These caps fence owner assets and paychecks during restructuring. We ensure the exemption list is completed before negotiation and ensure no disclosure, even briefly volunteered to a field representative at the door, expands the collector map of what to pursue. That is the map the collector hopes was never drawn.
The unpublished decision in Zorin Properties against Denney affirmed summary judgment for a seller creditor and held that neither the Kentucky UCC nor the parties note and security agreement required pre seizure notice for self help repossession, with a letter announcing repossession after a later date held no waiver of the right to retake sooner without further notice.
Debtor counsel must therefore attack default, breach of the peace, or waiver on other facts, since lack of advance notice alone defeats no Kentucky self help repossession. The file in a Louisville matter showed eleven months of payments, if recollection holds, before the truck left the lot on a Tuesday morning without a call, and the motion practice afterward turned on whether default had occurred at all, and on nothing else.
Delancey Street, a settlement company rather than a law firm, provides a confidential review of Kentucky funding exposure while independent counsel resolves the legal questions, and an owner can open that review through Delancey Street.
The statutes apportion protection before any collector calls. Whether that apportionment survives the week the truck is scheduled for pickup depends on default contested, deception documented, exemptions inventoried, and guarantor exposure measured before the demand matures, and counsel who fixes all four before answering holds the steadier seat.
Most funders accept 30–60% as a full settlement — with proper leverage.
