New Jersey treats the MCA confession clause as a nullity.
Before the lender files the confession, before the business answers the demand, the owner who knows seven New Jersey authorities stands on ground the paperwork cannot move.
A fraud act with mandatory trebling, a confession ban with escalating penalties, and interest tiers that frame recharacterization decide the sequence, and seven authorities below supply it.

Stacked funders file against the same receivables, each asserting control over deposit accounts the business needs for payroll, and every priority contest among them is decided under this chapter, which is extremely technical where MCA paperwork is usually hurried.
Resist the urge to treat the first filed lien as the last word, even briefly. Opposing counsel in these cases tends to file the confession first and negotiate second.

The statute declares unlawful the use of any unconscionable or abusive commercial practice with deception, fraud, false pretense, false promise, or misrepresentation, or the knowing concealment of any material fact with intent that others rely on it, in connection with the sale or advertisement of any merchandise or real estate or with subsequent performance, New Jersey unlawful practice definition placing no showing of actual deception on the complainant.
No one need have been fooled.
Inflated MCA payoffs, hidden fees, and false enforcement threats fit readily, including payoff figures inflated in order to anchor a settlement, and the bargain in these agreements is often lopsided by design. Liability turns on conduct, and the state need not produce a deceived reader.
That prohibition is the whole of the case in many MCA disputes.
Where an unlawful practice appears, the Attorney General may proceed by summary action in Superior Court for injunction or for an order appointing a receiver, or both, with further orders barring individuals from owning or managing New Jersey businesses, vacating corporate charters, revoking foreign authority and other licenses, and restoring money or property acquired through the practice, which makes this section the heaviest public instrument against MCA operations.
Trebling is not discretionary. The court shall award it.
Any person who suffers ascertainable loss of money or property through an unlawful practice may sue or assert a counterclaim against the funder, and courts award threefold the damages sustained with reasonable attorney fees, filing fees, and costs of suit. Simply keep every demand, every payoff statement, and every threat of enforcement, because ascertainable loss is a matter the complainant must plead and prove. That multiplies quickly.
Which violations a court will count separately is a question the docket answers one order at a time.
No provider of business financing shall extend business financing to a concern in this State that contains a judgment by confession, and the official session law for the confession ban voids every noncompliant provision against any concern.
The clause is in the contract. The contract cannot keep it.
Business financing expressly includes a loan, line of credit, cash advance, factoring, or asset based transaction made for a business purpose, and no judgment shall enter on warrant of attorney except on motion after notice to the defendant served in lieu of summons under court rules or by registered or certified mail, under the 2019 enactment approved in January 2020 with effect on the ninetieth day after enactment.
A confession clause inside an MCA agreement works the way a spare key works after the locks have been changed: present in the file, useless at the door. Violations draw up to $5,000 for the first, $10,000 for the second, and $15,000 for each subsequent violation, plus court costs and reasonable Attorney General attorney fees, with the Attorney General charged to investigate and suit permitted in state or federal court.
Most owners first read the confession clause when it is already filed. The ninetieth day after enactment has long passed.
NJS 31:1-1 sets the default at 6 percent where no written contract specifies otherwise, permits 16 percent where a written contract states the rate, and authorizes the Banking Commissioner to set higher floating rates for first lien residential mortgages by reference to the Federal Reserve long term bond yield index plus 8 percent.
The 6 and 16 percent tiers frame usury analysis of MCA pricing recharacterized as a loan, though the criminal usury section was not verified here and is not asserted.
