Full 2026 rankings, city guides, and red-flag checks: Business Cash Advance Settlement.

The Utah funder who prices a business advance as if no law watched the transaction has read the interest statute correctly and everything else poorly.

Counsel answers the rate first, the filing second, and the collector last, because Utah law inverts the order most owners expect.

The state permits parties to agree on any rate of interest while holding silent contracts to ten percent, restrains private repossession at the boundary of the peace, exempts household property and a measured homestead from execution, punishes deception through public and private hands, and preserves assignment for benefit of creditors as an orderly alternative to collapse, and each authority shifts the discussion from what the funder demands to what the law allows.

Private Repossession Under Section 70A-9a-609

Utah private repossession statute draws the first line the restructuring walks. After default the secured party may take possession of the collateral, render equipment unusable without removing it from the debtor premises, and require the debtor to assemble the collateral at a reasonably convenient place, through judicial process or without it where no breach of the peace occurs.

The section grants the remedy. It refuses the violence.

Assembly sounds cooperative until the parties dispute the place, and the place decides the cost, and the cost decides whether resistance was reasonable all along, which returns the private remedy to the courtroom it tried to avoid. Files of this kind arrive on a Friday with a regularity I have stopped questioning.

Convenience, in these disputes, is decided by judges rather than by senders of letters.

A three page security agreement can carry the same repossession language as a thirty page one. Seldom does either version explain what peace requires in a warehouse at midnight, so counsel insists that repossession proceed through process the moment confrontation looks possible, and demands made against the company that skip that step answer for the skip.

Any Agreed Rate and the Ten Percent Default

Section 15-1-1 of the Utah Code permits parties to any lawful contract, expressly including loans and forbearances, to agree on any rate of interest, with ten percent per annum governing where the parties specified none and with obligations predating the 1981 framework preserved under prior law.

And the absence of a ceiling redirects the audit rather than ending it. The contract names its price. The statute names another.

Whether ten percent should govern an advance whose contract names no rate but implies one through fees is a question worth carrying into the negotiation.

This is where the audit begins. With no general usury cap on negotiated commercial rates, the owner tests recharacterization and disclosure instead, measuring fees and retained charges against the ten percent fallback the way an appraiser measures an addition against the original foundation. Our files suggest the pattern, though no one commissioned a study.

The rate the parties forgot to name still governs the paper they signed.

Property Exempt From Execution

Section 78B-5-505 of the Judicial Code sets the floor a creditor cannot reach when pursuing an owner guarantor, through a long schedule that includes the burial plot, health aids, disability and unemployment benefits, veterans benefits, child support and reasonably necessary alimony, basic household goods with twelve months of provisions, wearing apparel, beds and bedding, compensatory bodily injury proceeds, and life insurance proceeds held beyond the first year of ownership.

Utah homestead allowance permits an individual to exempt forty two thousand dollars in value for a primary residence, eighty four thousand per household where jointly owned, with five thousand for other property and ten thousand per household, indexed over time, while property acquired through criminal acts stays outside the protection and defined obligations remain excepted. Modest beside the shields of larger states, the allowance still prices the guarantor exposure before settlement talks open.

The guarantor schedule (which, in our experience, the funder compiles from public records before the first settlement call and revises downward the moment counsel asks for the source behind each valuation) deserves an audit of its own, since exemption math done correctly narrows every threat built on the guaranty. The statute is not entirely clear on how courts value household goods at retail or replacement, which is part of the problem.

Exemptions of this kind reward inventory before argument.

Deception and Public Enforcement

Section 13-11-4 of the Consumer Sales Practices Act condemns a supplier deceptive act in connection with a consumer transaction whenever it occurs, across knowing or intentional misrepresentations of sponsorship, quality, newness, price advantage, warranty rights, and rebates, with false urgency and liquidation claims named among them. A funder, broker, or collector that misstates the nature of the obligation or its settlement authority in a consumer side transaction steps inside this section, and some step inside it in order to rush a signature before counsel reviews the paper.

Section 13-11-17 arms the Division of Consumer Protection, acting for the state, with declaratory relief, injunctions, actual damages for complaining consumers, class wide damages for defined violations, and fines weighted by statutory factors. Systematic deception thus answers in two forums at once, which most collection scripts prefer the owner never learns.

Assignment for Benefit of Creditors Under Title 6

Utah assignment statute provides that an insolvent debtor may in good faith assign property to one or more assignees in trust for creditors in conformity with Title 6. Utah stands among the few states in this series with a dedicated assignment title, and the device offers an orderly wind down under state law where receivership or federal proceedings would consume the remaining value. Whether a given business qualifies for the orderly path is a question counsel answers file by file, since good faith carries the weight the cases assign it.

Delancey Street, a business debt settlement company and not a law firm, reviews positions of this kind through a free confidential initial review and coordinates with independently licensed counsel for legal work. Simply gather the advance agreements, the lien filings, and the payment ledger before the first call. Counsel will review and examine each obligation to protect and preserve every defense the statutes allow. The objective is to ensure no admission about the balance goes out, even briefly, and to ensure the response addresses the debt claim and the arithmetic beneath the debt claim.

Assignment remains the quiet alternative most funders omit from their correspondence, and the omission itself instructs. An outlandish reading of the assignment by the lending party should not decide whether the owner considers it. Consultation is where that consideration starts.

FAQ

How much can debt settlement save?
Typical settlements range from 30–60 cents on the dollar, depending on the funder, contract terms, and legal leverage available.
Can I settle if a COJ has been filed?
Yes — but you need legal intervention, not just negotiation. Attorney-coordinated firms can file motions to vacate and stay enforcement.
How long does debt settlement take?
Specialized firms typically resolve cases in 2–6 months — much faster than general debt settlement programs.
Will it affect my credit score?
MCA debt is generally not reported to consumer credit bureaus, so settlement typically doesn't impact your personal credit.
