Closing the business does not close the guaranty.

After the last day of trade, after the fixtures have been sold and the staff paid, the lease can remain exactly what it was on the first day: a signed promise with months or years left to run, guaranteed by an individual who no longer operates anything on the premises.

The Guaranty Beyond the Lease

Simply present the landlord with a proposal tied to the notice provisions the lease contains, negotiate and document every concession, and ensure no new promise is made without review, since agents sometimes describe an oral understanding as final in order to discourage insistence on paper. Counsel should ensure the release, when obtained, covers arrears, charges, and the guaranty itself.
