A personal guarantee is enforced according to its terms, and its terms are narrower than the creditor claims.

Every defense below has been recognized by courts deciding surety and guaranty disputes, with the conditions that make each one succeed stated alongside it. No defense works as a slogan, and each works only where its facts exist, which is why the guarantor who reads the file first holds the advantage.

Release of the Borrower

The Uniform Commercial Code rule on secondary obligors provides that when the party entitled to enforce an instrument releases the principal obligor in whole or part, a secondary obligor including a guarantor on the paper is discharged to the same extent from any unperformed portion of its own obligation. The release of the borrower carries the guarantor with it.

But the release must be read for a reservation of rights against the guarantor, since a release whose terms preserve recourse limits the discharge to the consideration value plus any loss the release otherwise causes. The first document question in any guaranty defense is therefore what the creditor settlement with the borrower reserved, and the answer usually sits in a single sentence near the signatures.

Extension of Time Without Consent

The Supreme Court suretyship decision in United States Fidelity & Guaranty Co. v. United States held that a binding extension of the principal payment time, there accomplished by taking time notes for brick debt, without the knowledge or consent of the surety releases the surety, with no need to prove actual loss from the extension. Time belonged to the substance of the risk assumed.

The opinion states the classic formulation that any material change in the guaranteed contract discharges the guarantor, though modern authority softens the rule for compensated sureties as discussed below. Six months after the original signing, when the lender grants the borrower another season to pay, the guarantor signature on the earlier paper may already have lost its force.

Material Modification of the Deal

Pennsylvania modern formulation, adopted from Continental Bank v. Axler and carried into Reliance Insurance Co. v. Penn Paving, draws the line by compensation: a gratuitous surety is completely discharged by any material modification of the creditor debtor relationship made without consent, defined as a significant change substituting an agreement substantially different from the one backed, while a compensated surety is discharged only where the modification also substantially increased its risk. The Third Circuit discussion quotes the Axler rule in full, and the Reliance opinion confirms the adoption lineage.

The guaranteed contract was modified. The guaranty was not.

Guarantor intake therefore turns on two facts: payment for the risk, and material movement of the goalposts. Owner guarantors who signed without compensation hold the stronger version of this defense, a point worth establishing before any discussion of settlement figures.

Impairment of Collateral and Recourse

Even where full discharge is unavailable, the Code converts mishandled collateral into a measured offset. The guarantor is discharged to the extent of the release consideration value and to the extent an extension or other modification would otherwise cause loss, which turns the complaint that the creditor released security, allowed insurance to lapse, or cut off recovery against the borrower from an all or nothing plea into a dollar for dollar reduction.

This defense rewards the owner who kept records of the collateral as it stood at signing. Appraisals, insurance declarations, and lien searches from the period of the guaranty establish the baseline against which impairment is measured, and the lending party that cannot account for the security (its officers will insist the collateral was always inadequate, though the loan was underwritten on its adequacy) faces an offset it cannot wish away.

Defective Advance Waivers

Discharge under the Code section can be waived in the instrument or a separate agreement, either by language specifically waiving discharge or by general language waiving suretyship or impairment of collateral defenses. The drafting moral cuts both ways, in that boilerplate silence is not a waiver, while explicit suretyship waiver language generally is.

Whether a given guaranty contains an effective waiver is a question worth considering at length, since creditors routinely overread generic consent to future dealings as a waiver of every suretyship protection. A principal obligor consent counts as the secondary obligor only where the latter controls the principal or deals with the enforcer on the principal behalf, a limitation that excludes many owner guarantors. Counsel should parse the waiver sentence word by word rather than accepting the creditor characterization of it.

Strict Construction of Ambiguity

A surety undertaking is strictly construed and cannot be stretched by construction or implication beyond its precise terms, and to the extent guaranty language is genuinely uncertain, interpretation goes to the jury rather than being resolved against the guarantor by default. This tiebreaker matters most for scope disputes: continuing guaranties versus single transaction guaranties, capped amounts versus open exposure, and named obligations versus after acquired debt.

The same Third Circuit opinion notes the modern retreat from rigid pro surety rules, so writers should present strict construction as the decider of genuine ambiguity rather than as a trump over clear advance consent and waiver clauses. An extremely broad clause, plainly written and separately initialed, will survive this defense where a vague one fails.

Want of Consideration

A guarantor who received nothing for signing, such as a corporate officer with no stake whose signature added no value the creditor did not already hold, can force a trial on adequate consideration. But Pennsylvania law narrows the opening: an accommodation party obligation stands enforceable even without consideration, and a signed writing expressly stating intent to be legally bound needs none.
