Returning the machine can end the dispute over possession. It rarely ends the debt.

Before the truck backs up to the loading dock, before the lender’s agent photographs the serial plates, the owner should understand that surrender, repossession, and release are three separate events, and only the last one closes the account.

The Agreement and the Machine

Begin with the executed contract and every schedule identifying the financed property. Match serial numbers against the equipment on the premises, since replacements or additions acquired under separate documents may fall outside the lender’s collateral description.

Only after default does the classification question become urgent. A true lease and a secured loan carry different remedies, and labels in the paperwork do not always settle which set applies, so counsel should review the structure before anyone moves the machine.

The default, if we are being precise, began with the missed payment the owner remembers least clearly. Lenders in this market tend to photograph the serial plates before anything else, a habit that reveals, with extremely consistent focus, where their attention rests.

Repossession Authority After Default

The Article 9 repossession section provides that after default a secured party may take possession of the collateral and, without removing it, may render equipment unusable and dispose of it on the debtor’s premises under the disposition procedures. The same section permits judicial process or action without judicial process where it proceeds without breach of the peace, and it allows the secured party to require assembly of the collateral at a reasonably convenient place. The Code conditions self help on peaceable conduct in order to keep repossession out of the street.

Peaceable self help is therefore lawful within its boundary and unlawful beyond it, and the boundary is crossed by confrontation rather than by paperwork. A photocopied notice taped to the office door has ended more businesses than any auction, because the notice convinces the owner that resistance is both required and hopeless, when the statute requires neither panic nor surrender without advice.

Resist the urge to lock the gate against a lawful repossession to stage a confrontation, and resist with equal firmness the impulse to volunteer equipment the description does not cover. Steps taken, or not taken, on the day the agent arrives shape the deficiency dispute that follows.

Deficiency Balances and Disposition

A sale of repossessed equipment rarely produces the outstanding balance, and the shortfall between the obligation, with expenses added, and the proceeds of a commercially reasonable disposition can remain with the borrower and any guarantor under the agreement. The claim that surrender ends the matter (a belief held in many shops, and supported nowhere in the language of these contracts) misunderstands what the sale settles.

The auctioneer starts the bidding where the appraiser left off, the appraiser worked from photographs taken on a rainy morning, and the machine that earned its price in daily production sells as a lot number among other lots, which is why the deficiency figure in the file tends to exceed the owner’s estimate and why counsel examines the disposition for commercial reasonableness before conceding the arithmetic.

Whether the drafters imagined this particular press, this particular loader, when they wrote the remedy is a question worth considering. Where the equipment has already been sold or traded, the Article 9 rule on sale proceeds preserves the interest in identifiable proceeds despite the disposition, subject to statutory exceptions. The shop sounds different with the press gone, quieter in a way the ledger cannot record.

Lien Release After Payoff

Payoff alone does not release the public filing. The termination procedure in Article 9 requires the secured party, where the specified conditions are met, to send or file a termination within 20 days after a signed debtor demand, including the absence of any remaining secured obligation or commitment.

There are exceptions in some filings, though the record counsel pulls is rarely one of them. Confirm the filing office, the collateral category, and the authorization before assuming a paid account shows as released. That decides whether the paid account still clouds title.

Options Before Surrender

Cure, reinstatement, redemption, voluntary surrender, and settlement on terms the owner negotiates before the truck arrives each depend on the agreement and the jurisdiction, and an uncanny precision in the lender’s first letter should not persuade the owner that only one path exists. Bring counsel the agreement, the schedules, and the payment history to review and analyze before the agent’s visit. Most owners surrender the equipment before asking what surrender settles. I understand why.

I have yet to see a peaceable repossession that felt peaceful to the debtor, though our files cluster around machine shops and contractors, which is not a scientific sample. Whether courts outside New York read the assembly clause identically is beyond what this desk can confirm, and the question matters extremely little until the holder’s own agreement is read, even casually, with counsel present.

Counsel can identify the collateral, test the default, and construct a reply that addresses both the repossession claim asserted against the business and the balance that may survive the sale. The response should simply state the facts, document and preserve the condition of the machine, and propose terms in writing rather than at the gate.
