Company liability on a corporate charge card protects the employee without protecting the company.
After a missed payment cycle, after the platform flags the account and the card declines at the register, the business learns that freedom from a personal guarantee concentrates the exposure in a single place.
Brex corporate card information describes limits informed by business financial factors such as revenue or dollars raised, worldwide Mastercard acceptance, and different issuing banks for different card programs, including Emigrant Bank and Fifth Third Bank for one program and Sutton Bank for another. The brand on the dashboard therefore does not establish a single agreement for every customer.
The Ramp corporate card page likewise presents its own issuers and products alongside a charge structure with a specified payback cycle. A corporate card product, a commercial card, and another financing service under the same brand can involve different counterparties and terms the holder never compared. Often the brand suggests a single relationship where several exist.
The file tends to arrive on a Friday afternoon, which may account for the tone of the cover email. Locate the agreement associated with the issued card, the current statement, and any amendment changing payment terms before characterizing the default.
Ramp’s own materials state that there are no personal credit checks or personal guarantee for the described corporate charge card, that the company is liable for the balance rather than the employee, and that the card carries a 30 day payback. The statement is a product representation about a specific card, and company liability is the protection it offers, with the boundary drawn there. That decides only the household question.
That protection changes the household calculus without changing the business one (the agreement, which marketing pages never reproduce in full, still governs suspension, reporting, and suit, and the remedies it grants the issuer operate against the company and its accounts). An employee’s name on a physical card does not answer who owes the account.
Company liability protects the employee. It does not protect the company.
Before counsel advises the owners to relax, before anyone treats the absence of a guarantee as the absence of consequences, the cardholder agreement should be read for the business side remedies the marketing page omits.
Brex’s page lists the question whether corporate cards require a personal guarantee among its frequently asked questions, followed by material the extraction did not retain. The holder should simply request the cardholder agreement in writing.
Brex’s answer was not captured.
No representation about a Brex guarantee should therefore appear in counsel’s assessment, since a gap that proves extremely expensive in default deserves no filler. The issuing bank named in the holder’s own documents and the signed agreement decide the matter, and a footer noting that Brex LLC sits within a bank holding structure as of the capture date decides nothing about who collects a given balance.
Both products are charge instruments rather than revolving credit, and the distinction shapes the default from the first day. A charge card with a 30 day payback behaves the way a hotel bill behaves for a guest who assumed the room was prepaid: the total arrives at once, and surprise does not reduce it.
But the absence of a minimum payment formula does not mean the absence of a deadline. The full statement balance falls due on its date, and the business that managed cash against an ordinary card minimum discovers an extremely consequential difference when the entire cycle posts at once, a discovery that tends to coincide with payroll week, which is why the finance team remembers the month with such peculiar clarity.
Neither issuer’s marketing page publishes default timelines, late fee schedules, suspension triggers, or settlement policies, and in our matters, though the sample is small and tilted toward companies that waited too long, the first concrete event is a suspension of spending power rather than a lawsuit. Whether that pattern holds beyond the files on this desk is a question I cannot answer.
Guarantee, reporting, suspension, and suit each turn on documents no public page reproduces: the cardholder agreement, the issuing bank’s terms, and the amendments mailed since origination. Steps taken, or not taken, in the days after the first decline determine how many of those documents counsel can still obtain in good order. Nobody frames the charge cycle as a risk while the card still works. That is human.
Assemble the application, the cardholder agreement, statements, and the suspension notices. Identify the issuing bank, the contracting business, and the person authorized to speak for it, then review and analyze the remedies clause with counsel before any payment or promise, to ensure counsel argues from the text rather than the brochure and to ensure the claims asserted against the company are met with documents rather than recollection. Counsel can identify the issuer, assess the remedies, and construct a response that addresses both the contractual claim and the operating reality of an account under suspension.
Resist the urge to route the balance through a personal card in order to buy time. A transfer made to preserve operations can create the individual exposure the corporate structure was chosen to prevent, and any discussion with the issuer, even casually, should wait until counsel knows what the agreement permits.
Delancey Street operates as a debt settlement company, not a law firm. Businesses seeking to review and analyze corporate card balances may contact the company for a confidential discussion of available paths, while independent counsel addresses liability and defense, with the shared objective to ensure no new promise is made without review and to ensure the response protects and preserves the company’s position. Most holders read the agreement only after the decline. Earlier reading costs less.
Most funders accept 30–60% as a full settlement — with proper leverage.
