Changing where customers pay may not restore the right to use the money. The bank agreement, the assignment documents, and the funding contract can govern different parts of the same receipt, with consequences beyond the next deposit.

What the owner redirects, or fails to redirect, through proper channels decides whether the business gains breathing room or a fresh default. The route deserves a map before anyone touches it.

Map the Route Before Naming the Arrangement

Begin with a single completed sale and follow the money to availability. Record who processes the payment, where the proceeds first arrive, and what reaches the operating account. The label establishes none of it.

A processor may divide a receipt before remitting the balance, while another structure places funds into an account governed by instructions in a separate record. Obtain those documents, and retain several settlement reports beside the bank statements, since the processor report may show a gross receipt with deductions that appear only as a net deposit at the bank. One morning matching eleven settlement reports against four deposits provides a peculiar education no sales brochure supplies.

Name and identify each agreement behind the route. The person offering a replacement processor has not examined either, and enthusiasm is not diligence.

What Deposit Account Control Can Mean

New York law gives a secured party control of a deposit account where the debtor, the secured party, and the bank agree in a signed record that the bank will follow the secured party instructions without further consent from the debtor. The New York statute on control of deposit accounts also recognizes other routes, so the signed three party record is one path rather than the only one.

The same section preserves a distinction owners miss: control stands even where the debtor retains the right to direct disposition, so access and control are different concepts sharing one account. And the bank takes on no duty outside the record, a limitation that matters when an owner expects the institution to disregard another party instruction on a telephone objection alone.

Read the conditions governing when instructions become operative, and compare them with any asserted default and the notice delivered. A new processor (which advocates of a fast switch will describe as a clean break) inherits the outstanding instructions until the parties amend them in a signed record. Often the instruction the owner remembers differs from the instruction the bank holds.

Control answers who the bank must obey. Access answers who can still move money. The answers differ, and the difference costs money.

Do not mistake an ACH authorization for a deposit account control agreement. Stopping a particular debit can leave another collection arrangement in place, while a change to the control structure can require consent beyond the business owner. These New York rules frame one governed arrangement, and another jurisdiction can require a different analysis, though the practical question travels well: which instruction must change, and who holds authority to change it.

Why Closing the Account Fails as a Plan

In August 2020 a court appointed receiver wrote merchants that their accounts remained estate assets and the appointment did not diminish contractual obligations. The receiver letter to merchants stated the receiver position of that date rather than a ruling on every merchant defense, yet the principle travels: obligations documented in signed paper survive unilateral maneuvers around them. That is the discipline the file requires.

Captured funding terms make missed or diverted payments a default trigger, with the full uncollected balance plus fees becoming due at once, so rerouting receipts can trigger the acceleration clause the provider drafted in order to capture exactly this maneuver, which is the practical point. The cited New York decision tied that consequence to defined events including a written admission of inability to pay, and counsel should test any planned change against those events before funds move. Most providers monitor collection patterns with extremely close attention, and a gap in expected receipts draws inquiry faster than any explanation reaches them.

The settlement was signed. The control record was not amended.

Negotiating the Release of Instructions

A settlement that reduces the balance should address the collection route as well. Name the accounts and processor instructions involved, state which party must issue the release or modification, and confirm the form the bank or processor requires before implementing a change.

Agree on the treatment of receipts already in transit. A settlement payment arriving while a continuing split still operates can overcollect, and the resolution should provide the reconciliation with any refund the agreement requires, though processor timelines on such reconciliation vary more than the contracts suggest. Keep the final instruction, the acknowledgment, and the account statement together.

Where a customer or processor pays under an assignment notice, the New York rules on assignment notification change whom the payor must pay after a qualifying notice, require reasonable identification of the rights assigned, and allow the payor to demand proof. Preserve the notice with the documents it references.

For liens and judgments in the picture, obtain the written releases the federal order against two providers once modeled, with termination statements and satisfactions filed within thirty days. Texas law adds a condition for covered transactions: automatic debit mechanisms require a perfected first priority interest, though the chapter creates no private action. Simply ask the bank what document it needs, then supply that document.

Discussing the Debt With Delancey Street and Counsel

For the debt itself, a settlement company can supply negotiation structure while counsel assesses control rights and disputed instructions. Delancey Street offers an initial discussion of whether negotiation may improve an unsustainable business debt arrangement, through its debt settlement service. The company acts as a settlement company rather than a law firm, and a settlement conversation cannot itself authorize the business to disregard another party’s rights.

Bring a short cash forecast showing gross receipts with the amount available after collection. Ensure a written resolution addresses the old collection mechanism rather than only the amount owed, and ensure the business knows when replacement instructions take effect. Most owners map the route only after it narrows, and I understand why.

Resist the urge to treat a new account as the complete answer, even briefly entertaining the thought that fresh routing erases signed obligations. Revenue becomes useful when the business holds both the money and a defensible basis for using it, an extremely practical test that paper either passes or fails. Review and analyze the route and preserve each consent with the agreement it amends, for the quiet account is the one whose paper agrees with its flows.

FAQ

How much can debt settlement save?
Typical settlements range from 30–60 cents on the dollar, depending on the funder, contract terms, and legal leverage available.
Can I settle if a COJ has been filed?
Yes — but you need legal intervention, not just negotiation. Attorney-coordinated firms can file motions to vacate and stay enforcement.
How long does debt settlement take?
Specialized firms typically resolve cases in 2–6 months — much faster than general debt settlement programs.
Will it affect my credit score?
MCA debt is generally not reported to consumer credit bureaus, so settlement typically doesn't impact your personal credit.
