A dissolved company can remain a named defendant in an MCA action while the individuals who signed face claims of their own. The questions of liability, procedure, and collection remain open after it. The company is gone and the lawsuit names it anyway.

Before any response is drafted, the owner needs three groups of paper in one place: the formation and dissolution records, the signed financing documents with each amendment, and whatever proof of service accompanied the court papers.

The Dissolution Record

The New York statute governing LLC dissolution provides that a limited liability company is dissolved and its affairs shall be wound up upon the first of several listed events, including the vote of at least a majority in interest of the members. The winding up period is administration, not erasure.

Obtain the accepted filing and the operating agreement, which can specify dissolution events of its own. The filing, if we are being precise, proves the date and character of the event rather than the resolution of the debts.

Voluntary closure and an administrative status on a state register are different conditions, and a business formed outside New York needs the formation state provision. Counsel needs the actual event rather than the general statement that the company is gone. Whether a lapsed filing in another state carries the same consequences as a New York dissolution is a question I cannot answer from this desk.

The Complaint and the Response Deadline

The caption decides more than the dissolution record does. The complaint may name the company, an individual guarantor, or additional parties whose positions require separate assessment. A response filed for the company should not be assumed to protect an individual served in a separate capacity.

Under New York rules for default judgment, a plaintiff may seek judgment when a defendant has failed to appear, plead, or proceed. The company had no office to receive the papers. The action proceeded all the same.

Preserve the summons, the complaint, and every envelope and affidavit that records delivery.

When the collector calls, even briefly, the conversation can alter the posture of the case. Simply state that further communication must pass through counsel. Steps the owner takes, or does not take, in the first weeks after service shape the settlement posture (one wonders how many default judgments rest on service at a vacant storefront).

Service at a former address raises questions for the applicable rules and the actual record, though reported decisions point in more than one direction. After the complaint is served and the response date passes without answer, the clerk or the court may enter judgment. Whether the court that entered a judgment against a dissolved company examined capacity before doing so is a question worth considering.

The Guaranty After the Company Closes

Membership in the company and a signed guaranty are different bases for a claim. The creditor should identify and produce the provision that supports any demand against the owner. The response should assume neither that every member accepted personal liability nor that closure released a signatory. The language of the guaranty is extremely consequential.

In a hypothetical renewal, the owner signs a second set of documents with different terms, and the funder relies on the second instrument. The same attention belongs on any sale of the owner interest. An internal agreement assigning responsibility to another member does not establish that the creditor consented to release the signatory.

A signature given to obtain information can cost more than the information is worth. Resist the urge to sign a new acknowledgment of the balance for that purpose. That can create issues beyond the original undertaking. Most funders know exactly which guarantor has wages to pursue. They prefer the guarantor not to raise the authorization defense.

Collateral, Proceeds, and Remaining Assets

New York law on disposition of collateral states that a security interest continues in collateral despite sale, lease, or other disposition unless the secured party authorized the disposition free of the interest, with the interest attaching to identifiable proceeds. The funder (which may have taken a broad description of receivables and inventory at origination in order to preserve its position against later purchasers) reads that provision as license to follow the assets while counsel for the owner reads the authorization exception first.

A blanket filing left in place after the business closes resembles a forwarding address nailed to the door of a demolished house: correspondence of a sort keeps arriving, though no one remains to sign for it. Rarely does a complaint against a dissolved company name the company alone.

When the owner gathers the final bank statements, the ledger of receivables collected after closure, the bills of sale for transferred equipment, and the distribution records showing what each member received, counsel must decide which movements the agreements permitted and which require further review. Counsel will review the caption, identify the deficiencies in service, and construct a response that addresses the claims against the company and the separate claims against the signatory.

Distributions to members after closure (a subject on which the research underlying this article is thinner than I prefer) require counsel review before any position is taken on their propriety.

The file stays open until the assets are accounted for.

The File to Preserve

The owner should assemble the dissolution filing, the operating agreement, the financing documents with amendments, the court papers with service records, and the bank and tax records that show where the final year ended. Counsel can work from an incomplete file. The work proceeds with less conjecture when the records are present.

Copies suffice for the first review. Originals should remain in a secure location. Protect and preserve the service records above all, since the defense against a default judgment starts in those pages.

A Settlement Review Before Further Cost

Delancey Street operates as a settlement company for MCA and business debt, not as a law firm. An owner can place the dissolution record, the financing documents, and the court papers showing the current posture before its team while independent counsel addresses liability and procedure. Delay favors the party holding a judgment, and the advantage is extremely difficult to reverse. The objective is to ensure the negotiation posture and the legal defense develop in tandem, and to ensure no admission about the guaranty is made without counsel present.

Most owners close a business with the peculiar expectation that the paperwork ends with the lease. I understand the expectation. Companies end faster than obligations do, and the owner who organizes the file before the next deadline faces the funder with something the dissolved company no longer possesses: a position. A first call with the settlement team begins the diagnosis and obligates the owner to nothing further.

FAQ

How much can debt settlement save?
Typical settlements range from 30–60 cents on the dollar, depending on the funder, contract terms, and legal leverage available.
Can I settle if a COJ has been filed?
Yes — but you need legal intervention, not just negotiation. Attorney-coordinated firms can file motions to vacate and stay enforcement.
How long does debt settlement take?
Specialized firms typically resolve cases in 2–6 months — much faster than general debt settlement programs.
Will it affect my credit score?
MCA debt is generally not reported to consumer credit bureaus, so settlement typically doesn't impact your personal credit.
