Loud collection calls prove nothing about the strength of the claim behind them.
An MCA, a term loan, and a line of credit compete for the same scarce dollars through different contracts, different collateral, and different personal exposure. The owner who compares those instruments before paying any of them preserves options the hasty payer surrenders.
List every required payment by date and source of funds. Daily remittances create a different cash problem from a monthly installment, even where the monthly totals look similar. Compare the weeks in which receipts arrive, not the balances printed at the top of each statement.
Include fees and any amount needed to cure an asserted default. A settlement proposal cannot be judged against an incomplete version of the existing obligation. In most files seen in this practice, though the sample is not scientific, the cure figure is where the first surprise hides.
But priority on paper and priority in negotiation are different decisions. A daily debit can feel urgent while a perfected lien sits silent, and silence proves nothing about strength.
Product names conceal important differences. The Forward Financing description of its products distinguishes revenue based financing with a set total and variable payment period from loans with precomputed interest and a fixed term. The reader agreements supply the terms that matter here, not the marketing labels on any provider page.
The business may depend on financed equipment, access to a particular account, or receipts subject to an asserted security interest. Determine which assets and payment channels support the next period of operations before offering any of them as settlement funds.
A daily remittance operates like a parking meter outside a shop already closed for the day: exact, insistent, and indifferent to whether any customer entered. The meter does not measure what the business earned. It measures what the contract demands.
The unused limit, if we are being precise, is not money. It is permission that can be withdrawn. A settlement budget built on another draw needs confirmation that the funds can be obtained under the actual agreement, because the lender who cuts access mid negotiation answers to its own documents. What the owner discloses, or withholds, in the first call with each creditor shapes what follows, even casual remarks about other debts.
The comparison, reduced to its elements, asks what each payment preserves and what each agreement resolves.
The priority rules in article 9 of the New York Uniform Commercial Code supply a framework for competing security interests, including a general first to file or perfect structure subject to conditions and exceptions. Counsel must determine how the applicable rules operate against the actual collateral, and whether that reading holds beyond New York is a matter for counsel in the governing state.
The largest balance, the earliest agreement date, and the most frequent payment prove nothing about lien priority by themselves. Obtain the security agreements and review and analyze the filing history instead of relying on the order in which the owner remembers receiving funds.
If several obligations claim interests in the same receivables or equipment, a payment to one creditor may leave the other claims intact. The rules on interests after disposition and identifiable proceeds provide that moving property or depositing its price in a new account does not supply a release. A proposed asset sale needs review of consent, proceeds, and releases before its anticipated cash is offered elsewhere. Exceptions exist, though practice shows they favor the prepared.
Read the obligor and guarantor provisions for all three accounts. The owner should know whether each demand runs against the business, an individual, or both, and what each creditor says triggers personal liability.
A pending legal deadline belongs with counsel even if another debt receives the first settlement offer. The financial sequence extends no time to answer a lawsuit or other proceeding. Most MCA agreements know which account the owner will empty first. They were drafted in order to be that account.
Distinguish a demand from an entered judgment and from actual enforcement papers. Those stages change the options available. No schedule survives contact with a frozen account, though every schedule is drafted as if the account will stay open.
Delancey Street can assess the MCA settlement problem alongside the wider debt picture. It is a settlement company rather than a law firm, and the scope of assistance for other obligations should be confirmed, with independent counsel handling legal analysis.
Ask the provider to ensure that each proposal states payment dates, fees, and the relief requested. Counsel should ensure that collateral, guarantees, and pending proceedings receive appropriate treatment in the documents. Obtain equivalent detail for any other proposed workout, including the lender who, it should be noted, had already restricted draws twice that quarter before offering a discussion that presumed the very liquidity the restrictions had removed.
Compare what remains owed after each option. A temporary reduction, a maturity extension, and a discounted payoff can look alike in the first month while producing extremely uneven consequences later. Access to a line is extremely fluid until the day it is not, which is why the forecast must reserve operating cash before allocating settlement dollars. A sound triage reviews the payment terms, identifies the exposure behind each balance, and constructs a sequence that respects both the legal priorities and the cash available each week.
Resist the urge to promise the same funds to two creditors. Update the forecast when an offer changes and keep proposed payments apart from accepted obligations.
No proposal should depend on permission that has not been confirmed in writing. An outlandish assumption about consent has ended more workouts than any creditor tactic.
Most funders accept 30–60% as a full settlement — with proper leverage.
