The consolidation either retired the old obligations or it added another creditor to the rotation. An owner who signs replacement financing on the strength of a lower periodic withdrawal has not yet learned which of those two events occurred.
The closing file answers the question when the file is complete. Payoff confirmations, the executed agreement, a disbursement record, and release documents together show whether the prior accounts closed and what the new obligation costs across its whole term. Test the file against the five measures below before the next month’s receipts arrive.
Every account intended for retirement needs a payoff figure tied to a date. A balance remembered from a telephone conversation carries no authority against the ledger of the creditor, and a statement balance from last month may omit charges that accrued since.
Request the amount required to close each account on the proposed funding date, the period the figure remains valid, and the party authorized to receive the transfer. Servicing rights change hands without notice to the borrower, and money sent to the wrong recipient does not close the account it was meant to satisfy.
There are exceptions, though in practice they tend to confirm the rule.

The periodic payment tells the owner almost nothing about the price of the transaction. Total obligation, term length, fees deducted before funding, and default provisions together determine whether the replacement improves the position of the business or extends its distress under a calmer schedule.
A lower withdrawal stretched across twice the term, secured by a blanket lien the prior advances never held and guaranteed by an owner who believed the guaranty retired with the old accounts, costs more than the number on the proposal suggests, and the suggestion is the part of the file most owners read with care while the security provisions wait pages later for counsel who was never retained.
The agreement is enforceable. It is also unread.
The payment amount is the advertisement.
Resist the urge to execute a summary page before the complete agreement arrives. The lending party enforces the executed contract in order to collect obligations the summary never displayed, and the display is what the owner remembers signing.
Counsel should review the guaranty, identify the deficiencies, and construct a response that addresses both the contractual claims and the practical realities of the cash position. The objective is to ensure the owner understands what the business discloses, or withholds, in the first exchange of documents, though counsel should confirm the point under the governing law.
The disbursement schedule shows funds received, fees deducted, payments to old creditors, and cash remaining for operations. It names who sends each payment and who obtains its confirmation, and that naming is extremely useful when three parties later describe the same closing three different ways.
No participant describes the whole transaction. Each one describes a transfer.
But the schedule is where replacements fail, because each transfer depends on timing the proposal assumed rather than confirmed. Existing withdrawals may continue during the transition, and a business with little cash can face a shortfall even where the eventual replacement payment is affordable.
There is something peculiar in the way four professionals can close one transaction with four different understandings of its terms. I have watched owners approve a schedule they had not finished reading, and the approval always arrives before the questions do.
Which transfer fails first when funding arrives a day late?
Ask how an overpayment or payoff discrepancy will be handled. The closing process needs a route for correction rather than leaving the owner to reconcile several parties after funding, and the owner needs the whole transaction.
New York’s UCC section 9-315 illustrates that collateral rights can continue after disposition, subject to exceptions and authorization. The closing file should therefore treat every claimed lien as surviving until a release says otherwise.
Obtain the closing acknowledgment required for each paid account. A release the owner never obtained becomes evidence used against the company when the old creditor resumes collection, so keep the confirmations with the payoff statements and ask counsel about guaranties and any pending proceeding.
Prepare the alternative comparison from the same set of current payoff documents. A negotiation estimate based on an earlier balance can appear more or less attractive for reasons unrelated to the actual offer, so identify the date and source of every amount used.
Ask the settlement reviewer what documents would demonstrate completion under its proposed route. The commercial agreement, proof of payment, and any release work should be understood before enrollment, and the company can then compare the expected closing record with the financing transaction’s disbursement papers.

Protect and preserve the documents underlying the decision. It is extremely useful to understand why consolidation was selected, particularly if a later offer promises the same relief with different conditions, and the completed transaction should leave a record that a bookkeeper, attorney, and owner can follow without additional explanation.
A replacement payment earns its place when the business can identify both what it owes and what it no longer owes, rather than joining another rotation of advances.
