A federal guaranty behind a 7(a) loan settles the exposure between the government and the participating lender, and it leaves the borrower obligation exactly where the signed note placed it.

The SBA commercial loan servicing guidance describes a sequence that moves from lender servicing through collateral liquidation and guaranty purchase toward compromise review and possible Treasury referral. The file establishes which stage the account has reached. That is the only calendar that matters.

The Note and the Notice

Often we see files where the owner argues the whole relationship while the notice argues a single missed installment. The notice deserves the first answer. Identify the loan number, the executed agreement, and the latest payment history before composing any broader response to the default.

A missed installment should be kept separate from other alleged breaches, such as failure to provide records or maintain an agreed condition. Each carries different proof and different consequences. Counsel needs to know which breach the lender relies upon, or the response addresses a charge never made.

A general dispute about the balance gives counsel less to work with than a dated payment requiring reconciliation. Counsel should ensure no statement to the lender concedes a breach the notice never alleged, an extremely common error in early correspondence.

Servicing Review and Written Terms

Early in the default, before any sale of collateral, the owner should ask what review a proposed modification requires, because the servicing guidance distinguishes actions a lender may take under delegated authority from actions requiring agency approval, and a request sent to the wrong office can consume the weeks in which a viable proposal might have been considered.

Prepare a current forecast that supports the request and that separates a short collection delay from a continuing operating loss or a change that prevents the original schedule from working under any plausible revision of its assumptions about revenue, expense, and the timing of receivables that have not yet been collected (the agency publishes the framework; the timing of any individual decision remains with the file). Some servicers treat a request for records as hostility. It is diligence, and counsel should insist upon it. A discussion of relief is not relief. Only the signed writing changes the schedule.

Keep any accommodation in writing with its effective period, required payments, and the event that triggers another review stated in terms the business can perform. A conversation about payment relief does not establish that the original terms have changed, and the business should continue following existing written instructions until a change is confirmed through the office with authority over the account.

Collateral, Guarantors, and Competing Claims

The debt was enforceable. The amount asserted was not yet established. Between those two sentences sits the entire collateral review, which begins with a list connecting each important asset to its owner and to the agreement said to encumber it, including equipment financing, an MCA filing, or a commercial mortgage that may touch the same operating plan.

Do not dispose of collateral on the assumption that default has made the paperwork irrelevant. Resist the urge to satisfy the loudest creditor first, since any transfer made in order to quiet collection pressure, even a brief one, can prejudice rights the owner has not yet assessed, and the record a creditor later uses against the borrower often begins with the borrower own hurried instructions. There are exceptions, though in practice they seldom alter the posture of the file.

Valuations deserve suspicion. An asking price flatters the seller, an appraisal flatters the method, and only funds received at a sale state in eccentric detail what the market paid, less expenses and credits that the loan account should reflect before any deficiency figure becomes the starting point for another agreement. No one assembles this file correctly on the first attempt. Experience is mostly a record of earlier omissions. That is the ledger on which every later negotiation stands or falls.

Compromise After Liquidation

Agency guidance describes compromise as a resolution available after collateral has been liquidated, where the obligor cannot pay the full balance, and it requires financial information for each person or entity seeking compromise. This is an extremely narrow door. It is not a promise that an offer will be accepted, and the applicable program, account stage, and obligations being resolved need identification before any proposal is drafted.

Whether a given account qualifies is a question the servicing office answers from the file, a determination no article can make from a description of the program alone. Keep the source of settlement funds clear in the submission. Money dependent on a future asset sale or on contributions offered, or withheld, by individual obligors should never be presented as though it were already available.

Have counsel review and analyze the parties covered by any proposed release, since resolving the company account and resolving an individual guarantee are questions the actual agreement should address rather than leave to implication. What remains unreleased after compromise?

A charge off entry does not establish that the borrower has received forgiveness. The ledger recorded a loss. The borrower owed the same amount the next morning.
