The business structure matters most at the moment the creditor asks who must pay, though the answer still lies in the contract rather than the initials following the company name.
Relief should begin with the legal obligor, the guarantees signed around it and the tax treatment attached to each, since no single structure shields every owner from every debt.
An LLC, a corporation and the solitary owner trading under a personal name present different exposures without making any one form a universal answer.
Behind the trade name, beneath the branding printed on the invoices, the agreement names a borrower, and that name governs.
Trade names suggest continuity where the documents may show rupture, since a filing at the county clerk costs little and proves less than owners suppose, while the collector reads only the signature block and the payment history, and the distance between what the invoices proclaim and what the agreement binds is where these disputes begin.
Simply list each account beside the borrower stated in its agreement and beside every additional signatory. Gather and preserve the amendments with the originals, since a name on the first page does not answer every question the file presents (the sample in our files is not scientific, though the pattern recurs).
Seldom does the letterhead answer the question the collector asks. Forming a new entity does not release an earlier promise, and changes in organization should be documented rather than assumed to erase what the old papers contain.
An owner of an LLC or corporation may have signed a guarantee whose scope differs from the company obligation, and counsel should examine the actual terms with the events the creditor claims triggered them, an assessment that proves extremely useful before any offer is drafted.
The word limited modifies the entity.
It does not modify the separate promise the owner may have signed beneath it, whatever outlandish reading the signature page invites. The entity shield held against the trade creditor. The guarantee handed the owner to the funder. Counsel should test each claim against the documents rather than assume one cancels the other.
And the guarantee survives every change of letterhead the owner can devise. Three signatures on separate pages bound the same owner twice as an officer and once, on the final page, in language that bound the owner alone.
A creditor may invoke that final signature in order to reach resources the company no longer holds. The funder will accept payment from any source, though the source chosen can create consequences the owner did not intend.
Have counsel review and analyze the organization documents, the contract and the payment history together (my practice is to read the signature pages before the payment terms). Counsel should ensure each obligor is identified and ensure the settlement proposal leaves no intended party outside the release. The company and the owner can hold different interests in allocating funds or deciding whether operations continue, and authority to approve payment from company resources should be clear where those interests diverge.
Most funders know which signature binds the individual. They prefer the owner never to ask. The initials after the company name never decided anything.
Delancey Street offers a free confidential initial review of MCA distress and coordinates legal matters through independently licensed counsel. It is a debt settlement company rather than a tribunal that determines entity liability upon enrollment.
Confirm which accounts qualify, the fees charged and the scope of the proposed work, and provide the legal business name with the guarantee documents at the outset so the commercial proposal reflects the actual parties.
Before any reduction is described as savings, before any exclusion is claimed, the returns must identify the taxpayer that realized the income.
The IRS guidance on canceled debt explains that a canceled balance can constitute income, subject to exceptions and exclusions that carry their own requirements. The legal form of the LLC does not alone determine its federal tax classification, and qualified advice should address the entity treatment with the obligations canceled before any negotiated reduction is presented as final.
Payments the business makes, or fails to make, while the review proceeds affect both the negotiation and the tax position. Resist the urge to assume that closure or insolvency removes the question on its own, since an exclusion has requirements the actual circumstances must satisfy. The assumption that a closed business owes no further tax is an extremely expensive one to carry into negotiation.
Most owners learn their tax classification during a crisis. Earlier would have been cheaper. Keep the settlement agreement with the payment records and the financial information supporting any relevant calculation, so the adviser works from documents rather than memory. The interaction of state contract law with federal tax treatment is not entirely clear on these facts, which is part of the problem.
Ask counsel to identify the debtor for every process under consideration, since a negotiation over a company account, an individual obligation and a formal proceeding can address different parties, and federal court guidance describes reorganization as a court process whose protections and requirements counsel must assess for the actual debtor.
Company cash, a proposed owner contribution and funds from an affiliated entity should not be combined without stating the arrangement (the contribution that looks like generosity in a forecast reads as a transfer in a dispute, and counsel should paper it before the offer relies on it). The accountant can present the figures while legal questions about the movement of money remain with counsel.
The signature pages gathered at the start decide the shape of the end. A change of structure does not resolve an existing debt, and the owner needs advice on the actual obligation with any intended transfer. Counsel can identify the debtor for each obligation, trace the funds behind the proposal, and draft releases that name every party the settlement is meant to free, whether company, owner or the affiliated entity that supplied the cash.
Resist the urge to move funds between personal and company accounts, even briefly, to support an offer before counsel has traced the obligations. That tracing decides which person or entity owes what after the proposed step is complete, to the extent the records permit the conclusion. Delancey Street provides an entry point for the MCA settlement question through its initial review, and consultation is where the coordinated assessment of debtor, funds and process begins.
Most funders accept 30–60% as a full settlement — with proper leverage.
