A state law sale of collateral can do work a federal reorganization cannot, and a federal reorganization can do work no sale can touch. Owners of businesses under five million in obligations hear mostly about bankruptcy, because bankruptcy advertises its stay, while the quieter exit sits inside the security agreement signed at funding.
Five structural differences decide which forum fits a given file. Each one can favor the Article 9 path in narrow circumstances, and each carries a limit that returns part of the advantage. No outcome data supports a general claim that sales beat reorganizations at any rate, and counsel tests and confirms every difference below against the actual paper before advising either course.
After default the secured party may sell, lease, license or otherwise dispose of collateral in its present condition or after preparation, and the statute permits public or private proceedings, in a unit or in parcels, at any time and place and on any terms, provided every aspect of the disposition stays commercially reasonable. The disposition rules for collateral after default give the private sale its legal footing, and privacy plus speed supply the commercial reason owners sometimes prefer it.
No petition is filed, no trustee takes possession, no operating reports go on a public docket, no disclosure statement circulates the distress. For an owner whose business lives on reputation with a small customer base, the absence of a docket has a peculiar value no plan provision can replicate.
The limit arrives with the procedure. Commercial reasonableness governs method, manner, time, place and remaining terms, and a sale that ignores any of them invites the litigation the owner hoped to avoid.
Confirmation without creditor acceptance demands a price the statute names: projected disposable income, or equivalent value, committed across three to five years of plan payments. The owner keeps equity by pledging the near future, and the pledge binds regardless of how the market turns in year two.
The sale ends differently. Once proceeds apply and surplus or deficiency is reckoned, the collateral chapter closes without a forward commitment, and the owner who cooperated with an orderly disposition walks away from the asset without walking into a half decade of supervised payments. That finality suits businesses whose earning power sits in the owner skill rather than in the equipment being sold.
Finality has its own invoice. The obligor remains liable for any deficiency, and the deficiency letter that follows the auction outlives the auction by years.

Where the parties agree, the secured party may accept collateral in satisfaction of the obligation without any sale at all. Partial satisfaction rests on a post default authenticated agreement to its terms, full satisfaction on an unconditional post default proposal with no timely authenticated objection, and purported acceptance without these elements fails as a matter of law. The private transfer (which critics of state law remedies will call a quiet giveaway, though the consent and objection mechanics exist precisely to answer that charge) moves assets without an auctioneer, without advertising, without a sale date for junior creditors to circle.
Consensus is also the ceiling: a single timely objection ends the quiet path. Rarely does a transfer this dependent on agreement survive contact with a hostile junior lienholder.
The disposing party must send reasonable authenticated notification to the debtor, to secondary obligors, and, for business collateral, to other lienholders of record. A lien search requested twenty to thirty days before the notification date supplies a safe harbor for identifying those parties, and the notification requirements before disposition define the audience with more precision than any federal noticing regime attempts for an asset sale of this size.
The search receipt goes in the file.
A disposition for value transfers all debtor rights and discharges the enforced lien with subordinate interests. The buyer takes the collateral free, but the deficiency case against the obligor continues. The transferee rights in a collateral disposition give buyers the clean title that makes these sales marketable, which is why an owner selling the business as a going concern sometimes prefers a noticed Article 9 sale to a private bill of sale that leaves lien questions open.
The sale liquidates collateral. It does not forgive debt, release guarantors, or stay the creditors who never held a lien.
Insider participation draws guardrails. The secured party may buy at a public disposition but at a private one only for recognized market collateral, which an operating business rarely is, and where a related buyer pays far below outsider value, surplus and deficiency are recalculated on the outsider figure. The coordinated low price buyback manufactures no windfall. Structures priced in order to transfer value to insiders while leaving the deficiency behind draw exactly this recalculation, and the owner orchestrated buyer faces the good faith question without shelter. Whether any given insider price would survive recalculation is a question the statute leaves to the evidence of value.
The guaranty stands apart from all of it. The individual who guaranteed performance answers under a separate instrument, and no sale of business assets, even one conducted with full commercial reasonableness, releases that signature without its own negotiated release.
