The disclosure belongs beside the contract when a California business evaluates an MCA. A financing offer can disclose its cost and still create a separate dispute about performance, collection, or the enforceability of particular terms.

1. Scope of the California Disclosure Framework

California commercial financing disclosure regulations became effective on December 9 2022. The DFPI release on the effective date of the disclosure regulations places merchant cash advances and factoring within the covered products alongside commercial loans, with required information addressing funding, finance cost, APR, and payment terms.

That breadth matters because an owner should not assume a sales based arrangement falls outside disclosure review simply because the provider avoids the word loan. The actual transaction and the applicable coverage requirements need examination, and a sample downloaded later cannot establish what the business received before signing.

Simply retain the disclosure supplied with the specific offer, with the transmission message attached. A generic marketing page cannot substitute for the transaction record.

2. Compare Disclosed Figures With Actual Performance

Start with the funding amount and the money deposited, then identify charges, then compare the payment description with the withdrawals that occurred, then record differences with dates and supporting statements, and then preserve that comparison in a form counsel can use.

The APR and finance cost information provide different ways to understand the offer. Neither should be read apart from the payment assumptions or the complete agreement, and where receipts vary, the business should understand how the disclosed calculation relates to the stated collection arrangement.

Before accepting another advance, before describing the current product as affordable because the periodic debit appears small, compare total cost and the expected effect on operating cash. An extremely short collection cycle can make a payment pattern difficult even when the owner understands the amount purchased.

The disclosure answers what the offer claimed. The bank record answers what happened next.

Some differences can have an explanation in the contract or in transaction timing. Others can warrant legal or regulatory attention, and the file should be preserved first so that the eventual conclusion follows the record rather than the frustration of the month.

The disclosure framework does not by itself classify every MCA as a loan. A dispute about legal characterization remains distinct from the question whether required information was supplied in the required manner, though in practice the two questions arrive in the same envelope.

3. Role of the DFPI Beyond Private Negotiation

In an April 2025 advisory, the DFPI invited small businesses to report MCA concerns and described rules effective in October 2023 that prohibit unfair, deceptive, or abusive commercial financing practices. The department also reported that a federal district court upheld its disclosure protections against First Amendment and preemption challenges in December 2023. The DFPI release on the federal court decision upholding its disclosure rules supports the importance of the framework without establishing that a particular contract violates it.

A complaint should identify the transaction, the disputed conduct, and the supporting records. Review and analyze the submission for accuracy, since a regulator can assess the information while a complaint does not itself cancel the debt or suspend a lawsuit against the business. The confession of judgment (which defenders of the MCA industry will insist is freely negotiated) transfers procedural advantage to the funder before the first payment is missed.

Ask counsel to ensure any available defense is assessed under the applicable law, and ensure the business does not treat an unanswered regulatory complaint as permission to ignore a court deadline.

4. Preserve Deadlines and the Complete File

Keep the offer disclosure, the executed agreement, amendments, bank statements, and communications together. If court papers arrive, obtain legal advice about the response required in that proceeding.

The complaint process and the court calendar remain separate. Counsel should calendar each forum on its own track and keep the delivery records with the file.

The final commercial proposal should still be evaluated against available cash. A legal question can affect the negotiation without supplying the money required for performance.
