The signed confession deserves attention before the dispute is treated as an ordinary collection negotiation. The document may authorize judgment through a procedure far shorter than a contested lawsuit, and its validity turns on the rules of the forum where entry is sought rather than on the bargaining that produced the signature.
Collect the signed affidavit, the underlying agreement, every amendment, and any notice showing entry of judgment. The confession lives as a separate instrument rather than as a clause the owner can locate inside the financing contract.
Simply preserve the complete papers with their delivery information. An extremely important distinction is whether the creditor holds an unused affidavit or has presented it to a clerk. The business, if we are being candid, learns which position applies from a restraint notice rather than from the creditor. Counsel needs the actual procedural posture before advising on the response.
A contract of nine pages can carry an affidavit that decides the entire dispute. You sign the contract and then you discover what the contract means.
The New York confession of judgment statute requires a signed sworn affidavit containing specified information about the authorized judgment and the underlying debt. The statute restricts the county of entry by residence. Those requirements must be measured against the actual document and the actual filing.
Entry belongs in a county where the defendant resided when the affidavit was executed or when it is filed. An entity that is not a natural person resides in any county where it maintains a place of business. The analysis does not reduce to the address of a principal office.
Before calling a New York confession valid, before declaring every such instrument prohibited, ask counsel to examine the dates, the residence facts, the affidavit contents, and the procedure used. A conclusion that ignores one of those elements overstates either the creditor position or the business defense. The statute (which defenders of high volume MCA practice will insist operates as a neutral docket management device) transfers enormous procedural advantage to the funder long before any judge considers the merits.
A defect can support a response, though the precise remedy and process require legal advice. The entry statute does not erase the creditor ability to pursue an ordinary lawsuit.
Obtain the filed papers where entry is alleged rather than relying on a collector account. An extremely forceful demand proves nothing about what the clerk accepted.
Three documents, three postures: the signed affidavit, the filed affidavit, the entered judgment. Most owners argue about the first while the creditor enforces the third.
The enrolled text of Texas HB 700, effective September 1, 2025, provides that a covered sales based financing contract containing a confession of judgment or similar provision is void and unenforceable. Coverage, timing, and exemptions come before any conclusion.
No owner should apply the Texas provision to every agreement bearing an MCA label. No owner should assume another state adopted the same rule. Counsel must determine whether the transaction falls within the statute and what response fits the facts.
The chapter creates no private right of action, so a disclosure complaint under the statute does not by itself plead a damages claim. Whether the legislature intended that limitation to channel disputes toward regulatory enforcement is a question practitioners will test in the coming years. The business needs a legal theory with an independent basis, not a citation standing alone.
Retain the agreement, the affidavit, the docket information, and every communication touching enforcement in one file. Record the deadlines counsel identifies and the person responsible for each task, because a file that took eleven weeks to assemble, passed through two servicing names and one bank change, and arrived on counsel desk the morning after a restraint notice cannot be rebuilt from memory. Negotiation discussion alone alters no procedural posture.
Review and analyze proposed settlement terms for their treatment of the judgment, the guarantors, and any related claims. A payment agreement should leave no doubt about what filing follows performance or what release the owner receives. Executed documents and proof of performance belong in the same file.
A procedural objection to entry differs from a defense to the account. The business needs advice on both the judgment record and the obligation the opposing party claims remains unpaid. Treating those questions as interchangeable leaves an unanswered complaint beside a disputed affidavit.
Keep records of any restraint, levy notice, or communication to a third party with the court papers. A pending conversation about the balance must not obscure an enforcement event affecting the operating account. The lawyer assessing the judgment needs the history since entry and the deadline the business received.
Where an account stands resolved, collect the settlement, the proof of payment, and whatever document the creditor promised to file. Ask counsel whether the next step concerns satisfaction of a valid judgment, an application challenging entry, or another procedure suited to the record. A receipt proves funds moved. It does not establish what the parties agreed would happen to a judgment.
Delancey Street offers an MCA focused settlement review with a free confidential initial conversation. The company coordinates with independently licensed counsel where legal issues arise. Delancey Street is a settlement company, not a law firm.
Use that review to examine a commercial proposal while counsel assesses the confession. Confirm eligibility, charges, and the legal engagement responsible for urgent action.
Resist the urge to treat either a threatening affidavit or an encouraging legal summary as the final answer. The actual document and the applicable procedure require examination. A negotiated outcome requires the counterparty consent and terms the business can perform.
Delancey Street opens with the complete record in hand. Independent counsel carries the judgment questions. The objective is to ensure the business knows what was signed, what was filed, and what remains to be done. That knowledge, reduced to paper and filed where the next searcher will find it, is the only closing worth paying for.
Most funders accept 30–60% as a full settlement — with proper leverage.
