A funder allegation of fraud decides nothing about whether a debt survives bankruptcy. For an individual debtor, the exception cited, the procedure required and the evidence preserved must each be examined before a collection threat is treated as a judgment about the obligation.

The letter arrives in a familiar envelope, heavy with phrases like misrepresentation and diversion of receipts. I have watched owners read that language as a verdict. It is correspondence.

What blocks a discharge is not an accusation but a timely adversary complaint the creditor files and wins. The sections below separate the three exceptions funders invoke from the proceeding they must survive.

The Exceptions Behind the Accusation

Section 523 contains several discharge exceptions, and the precise provision matters because a general charge of fraud may conceal more than one legal theory. Paragraph (a)(2) addresses money or property obtained by false pretenses, false representation or actual fraud, with separate treatment for false written statements about financial condition. Paragraph (a)(4) concerns fraud or defalcation in a fiduciary capacity, with embezzlement and larceny beside it. Paragraph (a)(6) concerns willful and malicious injury to an entity or its property.

These are not interchangeable names for a contract that went unpaid. Stacking, diverted receipts and inaccurate application figures describe factual disputes (the collection bar calls each of them fraud in the demand letter, a label that costs the writer nothing). They do not satisfy the elements of a discharge exception because the creditor printed the word fraud beside them. Counsel should identify which theory the letter asserts and what must be established to sustain it.

The full text of Section 523 of the Bankruptcy Code states each exception in its own terms. Before the first conference ends, counsel matches the rhetoric to a paragraph number.

The Application File as Evidence

Two advances in nine days can look like deception on a ledger and read like desperation in context, and either reading fits the page until the surrounding records choose between them. The original application decides which reading a court can accept, so preserve the submitted version with attachments and every message exchanged with the broker or provider. An application reconstructed from memory omits the detail on which the allegation will rest.

Compare each financial statement with the period it purports to describe. A decline after funding does not show that an earlier statement was false. A document bearing an earlier date may need explanation where it was presented as current.

Keep the communications showing who prepared or altered each entry. Where a broker supplied figures or transmitted documents on behalf of the business, counsel needs the original exchange, since the funder case against the owner depends on attributing the broker hand to the owner mind. Do not revise the application to match belief about what should have been submitted.

An application file fourteen pages long still turns on two or three entries, though no published study supports a numerical claim. Bank and processor records should show where the receipts went, since a transfer may carry an ordinary operating explanation. Witnesses scatter after a business closes, so identify who spoke with the provider and where the original files remain.

The Adversary Proceeding Requirement

Under Section 523(c), debts of the relevant kinds are discharged unless, on request of the creditor and after notice and a hearing, the court determines otherwise. The order of that sentence is the order of the burden. A private demand establishes nothing. The creditor predicts a fraud finding. The statute requires a trial.

The creditor must file the required action within the applicable deadline and prevail on the merits. The Chapter 7 guide from the federal courts describes this requirement and notes that grounds for denial of discharge are narrow and construed against the moving party. Allegation alone blocks nothing.

Forward any adversary complaint to bankruptcy counsel on arrival. The proceeding carries its own response requirements, and counsel should calculate the actual deadlines from the case.

Debtors must schedule the funder with a correct address. Section 523 addresses debts neither listed nor scheduled in time to permit orderly participation, subject to notice and knowledge qualifications. Omitting a funder because its claim is disputed buys no advantage.

The outcome may reach one debt rather than every obligation in the case. Counsel should explain the difference between an exception for a single claim and grounds affecting the discharge as a whole.

Consumer Presumptions and Commercial Advances

Section 523 contains provisions about luxury purchases and consumer credit near filing. The phrase cash advance in that setting belongs to consumer law. It does *not* migrate to a commercial MCA agreement because both documents use the word advance.

A provider alleging commercial fraud must plead an applicable theory and prove the required facts. Counsel can identify whether the cited provision reaches the actual transaction. No presumption in the statute does that work for the funder. Why funders keep citing it is a question the demand letters never address.

A fee shifting provision addresses consumer debts where the creditor position lacked justification. Its reach into commercial paper is limited. Its existence still tempers the throwaway objection.

Settlement Posture While the Objection Pends

A threatened objection changes the economics of settlement even where it changes nothing about the merits, because defense cost enters the ledger at once while the merits wait months for a courtroom. Counsel can price the defense without conceding the allegation. Cost and likelihood are separate questions, and the owner should not read the expense of a defense as an admission that the charge is true. That confusion is what the letter counts on.

Delancey Street is a debt settlement company that discusses business debt negotiation. It does not represent debtors in adversary proceedings. Ensure that the comparison includes the full terms of a proposed resolution with the cost of defending the dispute. Ensure also that the decision rests on evidence rather than reputation.

Never sign an admission drafted to obtain an extension without understanding its consequences. Resist the urge to trade a signature for extra time, since a settlement clause can outlive the installment it purchased. Haste writes checks the discharge must later cover. Counsel should read every page before the owner lifts the pen.

A demand dated the Friday before a holiday weekend deserves the same methodical answer as one dated on a Tuesday morning. The ink on the settlement matters more than the ink on the threat. Consultation with Delancey Street is where the commercial part of that answer begins, while independent counsel guards the discharge against whatever follows the letter.

FAQ

How much can debt settlement save?
Typical settlements range from 30–60 cents on the dollar, depending on the funder, contract terms, and legal leverage available.
Can I settle if a COJ has been filed?
Yes — but you need legal intervention, not just negotiation. Attorney-coordinated firms can file motions to vacate and stay enforcement.
How long does debt settlement take?
Specialized firms typically resolve cases in 2–6 months — much faster than general debt settlement programs.
Will it affect my credit score?
MCA debt is generally not reported to consumer credit bureaus, so settlement typically doesn't impact your personal credit.
