A demand sent to the general contractor decides nothing by itself.
The payer holding the subcontract balance wants a direction. The funder wants the check rerouted. The subcontractor wants the application paid under the subcontract terms. Each party reads the same notice toward a different outcome, so the subcontractor must secure the document, the agreements, and counsel before anyone moves money.
You sign the subcontract and then you discover what the notice means.
Ask for the complete demand rather than a summary from the project manager. Retain attachments, account references, and whatever cover message accompanied the demand, since the form of the notice shapes the response it requires.
Identify whether the sender requests information, asserts an assignment, or directs payment to a different account. Those statements are not equivalent, and treating an information request as a payment direction concedes unsupported ground.
The document decides the response.
Preserve the subcontractor own communications with the provider alongside the payer notice. Often we see a prior modification surface only after the new demand arrives. A prior modification, payoff discussion, or dispute may bear on the demand now presented, and the accounting for this is usually straightforward enough when both sides of the correspondence are retained.
I have yet to see a telephone assurance about a payment notice prove accurate. The notice should be reviewed for the particular payment and account it identifies, not for the tone in which it was described.
The subcontract establishes the payment relationship for the project. Review the invoicing requirements, approval conditions, and any provisions concerning assignment or payment disputes with counsel, since contingent payment language and assignment restrictions decide whether the balance is presently due.
The financing agreement addresses a different relationship, and its description of purchased receipts, collateral, and asserted collection rights must be examined without assuming it rewrites the payment relationship created by the subcontract. An uncanny feature of these disputes is how often the financing document speaks at length about receipts it never validly acquired. Directions drafted in order to bypass the subcontract payment terms deserve particular scrutiny. The posture becomes extremely delicate once the payer holds competing instructions.
The state rules on continuing security interests and identifiable proceeds apply subject to authorization and statutory exceptions. The provision alone answers no question about a payer duty following a payment notice, and counsel should identify the applicable notification and payment rules in the governing jurisdiction (filing speed varies by office).
Federal guidance on receivables financing as collateral based lending offers a framework for assessing receivable quality and collection control rather than an endorsement of any particular demand. A financing statement belongs inside that inquiry, not as a substitute for the underlying agreement or a determination of the amount owed.
A nine page subcontract, most of it payment mechanics, may condition release of funds on approvals the application has not yet received, while setoff rights asserted against the balance and recoupment for defective work further cloud the figure the notice demands. The assertion of urgency (which the industry tends to invoke whenever haste serves it) deserves documentation before it deserves compliance.
The balance was invoiced. It was not due.
But the payer still needs an answer before the next application is processed. Provide a response coordinated with counsel that identifies the dispute and the documents under review, and keep the message focused on the project rather than the character of the funder.
Avoid unsupported instructions to disregard the notice. A demand can require legal attention even where the funder has overstated its rights, and an equally unexamined agreement to redirect everything may sweep money beyond the identified obligation into an account the subcontractor cannot readily reclaim. Directions the subcontractor provides, or withholds, in the next days shape the project account, and the room for correction is extremely limited. Resist the urge to answer urgency with concession.
The federal collection law guidance states that the consumer debt collection statute does not cover business debt. Consumer restrictions supply no answer about contact with the project payer, though other law may still govern the content and purpose of the communication, which counsels restraint about any fixed sequence for responding.
If the payer withholds funds while seeking advice, document the amount and the reason stated. Pressure directed against the project cannot convert uncertainty into an obligation to hold funds indefinitely, and any reply to the funder, even briefly worded, can alter the posture of the dispute.
Delancey Street offers a free confidential initial review of MCA concerns through its merchant cash advance settlement service. The company is a debt settlement provider, not a law firm, and independently licensed counsel handles legal representation and contested payment instructions. Ask the adviser to ensure the engagement addresses the existing notices to project payers rather than only the monthly amount. The sample behind that guidance is not scientific, though the shape recurs.
Most funders know exactly what a notice to a project payer costs the subcontractor. They send it anyway. The demand sat on the project manager desk the way an unopened bill sits on a counter: visible, and addressed to someone else.
Before anyone redirects a dollar, counsel should review and analyze the written agreement for what happens to the notice sent to the payer. If revised instructions are required, establish who issues them and what they state.
After the notice arrives, the ledger should record and retain every payment received during the dispute before any final amount is fixed. A project transfer and a scheduled installment must not be counted against the same balance.
Simply retain the executed terms, the updated instruction, and confirmation of any redirected payment. Counsel should ensure the accounting staff holds the same version of the arrangement as the person who negotiated it. The notice requested information. It did not direct payment.
I understand why the payer call comes before the counsel call. Subcontract disputes outlive the notices that start them, and the approved and documented application remains the subcontractor anchor.
Most funders accept 30–60% as a full settlement — with proper leverage.
