The collapse of a funding company ends the sales relationship while leaving the merchant agreement inside a court administered estate. Par Funding and 1 Global Capital illustrate the pattern from opposite directions, one through a federal receivership and the other through bankruptcy followed by criminal prosecution, and neither event canceled merchant balances by itself.
The receiver’s August 22, 2020 letter to merchants stated the position in direct terms. Agreements with Par Funding and the advances made under them were described as assets of the receivership estate, and the receiver described a duty to collect those assets for investors and other creditors. Appointment of the receiver, the letter continued, did not diminish the contractual obligations of the merchant.
That letter carries a date that matters. It was written weeks after the July 2020 appointment, and its contact details belonged to that phase of the case. A merchant who treats the document as a current payment instruction mistakes a historical notice for a present order.
The receiver also wrote that merchants could discuss an inability to satisfy obligations under their agreements. The sentence offered conversation rather than forgiveness. Exceptions exist, though few appear in the correspondence of an estate.
The name on the demand letter changed. Everything else required proof.
The business should therefore read the receivership as a substitution of the administrator rather than an erasure of the account. The full amount owed remained the stated demand until some later document altered it.
The Justice Department’s 1 Global Capital case history describes a commercial financing operation funded through nationwide investor arrangements, representations concerning profitability that the government alleged were false, and a bankruptcy filing in July 2018. Criminal proceedings followed against executives and associated attorneys, with sentences and substantial restitution orders recorded on the public page. The narrative is extensive, and every line of it concerns the liability of the operators to investors and to the government, which is a different question from the enforceability of any single merchant agreement, a distinction the merchant ignores at considerable peril because the two proceedings distribute different money to different claimants under different standards of proof while merchant accounts sit in a separate ledger awaiting separate treatment.
An investor notice is not a merchant notice. Victim impact statements and sentencing updates belong to the criminal docket. Often we see owners arrive at counsel with a printout of a restitution order and no copy of their own agreement.
There is a particular quiet in the public record where merchant outcomes should be. Whether the estate pursued every small balance to judgment is a question the published history does not answer. The sample of merchant resolutions visible to an outside reader is not scientific.
The bankruptcy track also differs in kind from the Par receivership. The merchant needs the docket that governs the merchant’s own account. Interest accumulated on dormant balances the way dust accumulates on a file no one has opened since the hearing. The owner should keep the public history in the file and keep it in its place.
The notice, if it is to be credited, must identify the party entitled to payment and connect that party to the governing authority. A new email address proves nothing.
Before funds move, the business should compare the demand against the court record and the original financing documents. The account reference should trace to the signed agreement. The letter should state the amount claimed and the documents the merchant receives after performance.
The request should also identify who can approve a compromise. An estate collector, or any successor holder, may require court approval or committee consent before accepting less than the stated balance. The business should ask. A favorable number from a person without authority binds no one.
If two parties demand the same account, the merchant should pay neither until counsel has reviewed the competing claims. Resist the urge to satisfy the louder correspondent, even briefly, in order to purchase quiet. A misdirected payment can survive as a gift to a stranger while the actual balance continues to accrue consequences against the business.
The business should preserve the signed agreement, the payment history, and any requests for adjustment with the responses received. A successor administrator inherits files of uneven quality.
The receiver asserted the right to collect every balance. Individual agreements retained their individual defects. Counsel reviews reconciliation provisions, fee calculations, and authorization language against the statute that governs the particular contract.
Delancey Street is a debt settlement company that discusses possible negotiated resolutions of business debt, including merchant cash advance balances held by successor administrators. Independent counsel handles legal questions concerning the governing proceeding, the authority of the payee, and defenses under the agreement. The company should not be mistaken for the receiver, the trustee, or the attorney responsible for defending a claim against you.
A negotiation requires an authorized counterparty and a payment the operating business can sustain. The owner should bring the current demand and the records showing how the account reached its present holder. Steps you take, or do not take, in the first weeks after contact can determine whether the estate treats the file as cooperative or contested. We ensure the proposal accounts for obligations outside the disputed account, and we ensure no statement is made to the administrator, even casually, that concedes more than the documents establish.
I have yet to see a payoff letter that answered every question on the first draft. The accepted agreement should state which claim is resolved and which documents follow payment. Buyers of distressed MCA accounts understand the gaps in the chain of title. They prefer the merchant not to examine them.
Par and 1 Global demonstrate that funder failure rearranges the dispute without resolving it. That is the file counsel needs.
Most funders accept 30–60% as a full settlement — with proper leverage.
