The harshest clause in the agreement is not always the clause a court will refuse to enforce. A provision takes its meaning from the statute behind it, the transaction around it, and the forum asked to apply it.

An extremely consequential page can sit outside the principal agreement.

1. Confession of Judgment Language Under CPLR 3218

New York CPLR 3218 permits entry of judgment by confession only upon a signed sworn affidavit stating the authority for the judgment and the facts of the debt. Residency and county restrictions govern where the filing may be entered, and an entity resides in any county where it maintains a place of business.

Texas takes a different path for covered sales based financing. Enacted House Bill 700, effective September 1, 2025, provides that a covered contract containing a confession of judgment or similar provision is void and unenforceable. Coverage, timing, and exemptions require examination before the business assumes the result.

A funder drafts confession language in order to secure payment without suit. The affidavit often sits outside the principal funding agreement, among authorizations and schedules the owner signed without reading as a set. That placement matters because a review of the funding pages alone can miss the document that decides the case, and the search for the affidavit sometimes explains why the balance claimed in a demand letter differs from the balance shown in the ledger, which returns the owner to the first task of gathering every page before drawing any conclusion about what the file contains.

The enacted Texas statute illustrates a further limit. The same chapter that voids the confession provision states that it creates no private right of action, so the owner needs the relevant section and the applicable facts rather than a general claim that any violation permits damages.

Keep the affidavit with the agreement it accompanies.

2. Reconciliation Terms and the Absolute Repayment Question

And the reconciliation clause deserves the same document level attention, because New York courts examining MCA character look to substance rather than labels.

In LG Funding v. United Senior Properties of Olathe, a New York appellate court weighed reconciliation, finite duration, and bankruptcy recourse when considering whether repayment under the arrangement was absolute. There is a peculiar confidence in a clause whose heading promises flexibility while its procedure withholds it.

Read the adjustment procedure beside the payment obligation, noting what information the business must supply, when an adjustment may be requested, and what effect a request has on daily collections (definitions and incorporation language elsewhere in the agreement can alter the reading of the paragraph under review, which is why counsel asks for the complete document rather than an excerpt).

You sign a reconciliation clause and then you discover whether it reconciles anything.

Preserve every request with its revenue statements and every response with its date. An owner who submitted incomplete records faces a different factual question from one whose completed request received no process at all, and both positions will be tested against the documents rather than the descriptions.

The full New York appellate opinion on absolute repayment repays attention to its procedural result. The treatment of defenses there did not establish that every similar agreement is a loan.

Counsel needs the actual language before assessing coverage, interpretation, and consequence.

3. Why the Remedy Does Not Follow From the Violation

A statute can impose a disclosure duty, restrict a procedure, or address enforceability without supplying the same remedy for every violation.

For New York procedure, the text of CPLR 3218 supplies affidavit and venue requirements that differ from the Texas framework. A conclusion sound under one statute should not be carried into another state because both files contain the same clause heading.

The finding of a violation does not write the remedy.

An extremely confident conclusion should name the authority and the facts behind it. Ask counsel to identify what follows from the specific provision at issue, including borrower characteristics, transaction size, and any exception the chapter preserves.

Prepare the questioned language with its execution date and attachments. What the owner discloses, or withholds, at the first conference shapes the advice that follows.

4. Arbitration and Forum Provisions Read Together

Federal Arbitration Act section 2 provides for enforcement of covered written arbitration agreements, subject to applicable contract grounds and statutory exceptions.

The presence of an arbitration clause does not establish that the entire advance is enforceable, and a forum clause needs its own examination. Formation, scope, and the claims at issue require counsel, while deadlines keep running. The clause governs process, and process runs against the owner while objections are weighed.

A disagreement about forum is not a pause in the case.


5. A Negotiated Path While Counsel Reviews the File
