An arbitration clause can change where the dispute proceeds without resolving who should win. The owner should examine the agreement to arbitrate apart from the underlying payment dispute and apart from the deadlines already in motion.

The clause may be enforceable, contested, or inapplicable to a particular claim.

1. Locate the Written Agreement

Section 2 of the Federal Arbitration Act provides for enforcement of covered written arbitration agreements, subject to applicable contract grounds and statutory exceptions.

In the week after a demand arrives, the arbitration paragraph is a different document than the one signed.

Locate the clause with any amendments before evaluating the demand. Confirm which parties signed, which agreement contains it, and whether a guaranty incorporates related terms.

Identify deadlines and required submissions at the outset, because an extremely promising objection can become difficult to present after a missed filing.

Ask counsel to explain the next step in plain terms: what must be filed, where, and by which party on which date.

Ask about the costs and practical requirements of the specified process. Filing charges, hearing arrangements, and the location of participants affect preparation, although they do not alone determine whether a clause invoked against the business is enforceable.

A stark disproportion separates a short clause signed during funding from the procedural work it can create during a dispute.

An attorney should ensure the engagement covers the necessary proceeding. Representation in settlement discussions may not include contested arbitration work.

Keep any incorporated rules with the contract version under review.

4. The Demand File and the Budget

Keep the demand, the delivery information, the agreement, and relevant correspondence together, recording the dates on which each document arrived.

Forward amended demands and scheduling notices to counsel. A negotiation changes no procedural requirement by itself. What the owner files, or leaves unfiled, after the demand arrives often matters more than the objection itself.
