A judgment entered in Salt Lake City does not ask permission from Albany. An owner holding papers from Utah, Michigan or Ohio needs the instrument that authorized entry and the procedure of the court that signed it, not an assurance that New York ended the practice everywhere.
The label confession of judgment conceals several events. A creditor may seek an original entry, present a judgment entered elsewhere, or demand payment before taking either step, and the response begins by identifying which event sits on the desk.
At any time within three years after the affidavit is executed, it may be filed. That sentence from the New York confession of judgment statute holds the whole restriction: filing only where the defendant resided when the affidavit was executed or when it is filed.
For a company or other entity, any county where it has a place of business counts as residence. Counsel should compare those terms with the affidavit.
The New York restriction is real. Inside a Utah clerk office it carries no weight.
A business address outside New York may raise an issue under section 3218, but a headline about New York law does not decide an instrument filed under another procedure. Most funders know exactly which court will sign fastest, though they prefer not to explain why.
Preserve the whole document, with signature pages and acknowledgment attached to the file. A detached clause may omit the language the lending party relies on, and the clerk taxes costs of fifteen dollars besides disbursements.
After authorization by statute, and only then, the party seeking judgment against the business files the statement verified by the defendant that Utah Rule of Civil Procedure 58A requires. No other foundation supports the clerk signature on a confessed judgment.
For money due or to become due, the statement must describe the claim and the specified sum, and for a contingent liability it must address the claim with a sum that does not exceed the liability, and in either case the statement must authorize entry, whereupon the clerk signs the judgment, a chain that leaves a cover letter outside the procedure.
The rule is extremely specific about who must verify the statement. The statute permits this, and nothing else, as the foundation for the clerk signature.
Counsel should review and analyze the filed papers against the signed agreement (whether a given advance falls inside that definition is a question the documents must answer).
Beneath the signature line, in large type, the warning decides more than the fine print. Ohio law on warrants of attorney to confess judgment addresses production of the warrant, venue, and notice after entry.
For covered instruments executed on or after January 1, 1974, the statute requires warning language directly above or below the signature space, displayed more clearly and conspicuously than anything else on the document. Counsel should inspect the actual page rather than rely on a transcription (formatting that a summary prepared for negotiation flattens into plain text can matter as much as wording).
By signing this paper you give up your right to notice and court trial.
The statute cares about typography with an interest most bankers would find peculiar. Rarely does a court look past a signed warrant without a motion asking it to, so the comparison takes time and repays the effort.
The same section invalidates warrants arising from consumer loans and consumer transactions in the narrow sense given there. I am less certain about mixed purpose financing than the preceding paragraph might suggest.
Notice after entry starts a different clock than an opportunity to litigate before entry. Whether the legislature intended that notice to cure the absence of a hearing, or only to start the period for relief, is a question worth considering.
A business dispute should not assume the consumer result unexamined. Keep the envelope.
The 2025 reproduced text of Michigan section 600.2906 states the cognovit requirements. Judgment may be entered on a plea of confession signed by a court attorney, though no suit is pending, where the authority appears in an instrument distinct from the bond, contract or evidence of the demand.
The Michigan requirement is extremely literal about separation: the authority must be produced to the signing officer and filed with the clerk, so counsel should ensure the authority is produced before conceding anything, and Michigan counsel should confirm the current controlling text. A proposed rule is not an enacted rule.
A judgment entered in one state and an effort to enforce it in another create separate questions, and the business should obtain records from both matters. The forms multiply while the balance sits still, which is why the file matters more than the memory.
Identify the court that entered the judgment, the state where enforcement looms, and whether anyone has yet compared the two files. The creditor filed in that forum in order to reach assets there, and an objection lodged in one proceeding does not travel to the other by itself.
Most owners do not call until the bank account is already restrained, and I understand why.
Preserve and organize the judgment, the notices and the dates in a single file. That record tells counsel what relief is needed and where to request it.

Resist the urge to call the creditor directly. Any statement about the debt, even briefly, can become evidence used against you before counsel has evaluated them, and independent counsel ensures the court response and the negotiation do not work at cross purposes.
Simply keep the executed terms, payment confirmations and resulting court documents together. Whether the same posture holds outside the three states named here is a question for the law of the forum, and the useful response follows the document through the court that signed it.
