A demand letter cannot supply the condition that makes termination due. Before invoking a deadline, the business must establish what the financing statement covers and why the duties of the secured party have arisen.

That distinction fades after a settlement payment, when the owner watches money leave the account and expects the public record to change. The agreement can require further performance. Another obligation can remain secured. The filing can concern a transaction different from the one resolved. New York supplies a concrete framework for the demand. Other states require review of their own enacted provisions.

1. The filing identified before the demand

Obtain the financing statement with amendments and any assignment or continuation the record reflects. Use the filing number with the office, the legal name of the debtor, and the secured party information those documents show.

A brand name on a demand letter can differ from the name in the filing. That difference needs explanation rather than an immediate accusation. The recipient of the request should connect to the authority to act on the record. Compare the collateral description with the security agreement, since a filing record alone supplies no reliable payoff balance and resolves no question about the underlying obligation.

There is an eerie durability to a financing statement no one tends. If several financing statements exist, give each filing its own entry in the file. A request naming one number should not be assumed to reach another filing because both concern the same business. The record rewards exactness and punishes approximation.

2. The condition that starts the clock

New York law on termination of financing statements distinguishes consumer goods filings from other cases. For the nonconsumer situations in subsection (c), the secured party must act within 20 days after receiving a signed demand when a specified statutory condition is satisfied.

Those conditions include circumstances where no obligation remains secured and no commitment remains to advance funds, incur an obligation, or otherwise give value. The statute further addresses certain sold accounts with chattel paper and filings the debtor never authorized. The condition fitting a purchase of receivables deserves particular care. Counsel should determine which provision matches the transaction and whether the evidence establishes it, since describing every MCA as an ordinary secured loan can obscure the question the statute asks.

The required action is to send the debtor a termination statement or to file it, as the provision specifies. Receiving a statement differs from confirming that the public filing stands terminated. A partial payment establishes nothing about remaining secured obligations. An agreement to accept less establishes nothing about when the relevant condition takes effect. Read the performance provisions with the release provisions together. The record that follows a settlement is extremely unforgiving of assumptions, and assumptions are extremely common at this stage.

3. The signed demand fitted to the facts

Sample for adaptation by counsel: “To [secured party or authorized representative]: Re: financing statement [number], filed with [office] on [date], naming [debtor legal name]. The undersigned holds authority to act for the debtor and requests the termination statement required by applicable New York law.”

Continue with the specific basis: “The condition supporting this demand is [the applicable statutory condition with the facts satisfying it]. Enclosed are [payment confirmation, executed release, agreement, or other supporting records]. Please send or file the termination statement as required and confirm the action in writing.”

Add a signature with the date and a delivery address. State which obligation ended, when it ended, and how the enclosed documents establish the point, leaving no generic assertion that the debt was handled. Where the filing was allegedly unauthorized, name the basis for the position. The record of the filing resembles a forwarding address left after a move: it directs strangers to a place the business no longer occupies, and it stays posted until someone with authority takes it down.

4. Limits on filing the termination without authority

The question of who can file amendments, including termination statements, is answered by New York law on authorized filings (a provision the critics of self help cite with more confidence than the text perhaps supports, though the core restriction is genuine). Its debtor authorization rule is conditional. It authorizes no self filing whenever a creditor fails to answer correspondence.

5. The record confirmed with the release retained

After the required action, obtain evidence of the filing status. Match the termination to the original number and retain the confirmation with the demand and the response.

The public record with the settlement release answer different questions. A termination statement addresses the effectiveness of the financing statement under the applicable rules. The release defines which claims with which parties the agreement resolves. The New York statute on written releases supplies no parties or obligations the release text omits. A guaranty of the owner deserves its own attention. Any remaining financing statement deserves investigation of its basis rather than an assumption that the termination failed.

File the confirmation. Close the folder.

6. Filing completion as part of the settlement work

Delancey Street offers MCA debt settlement assistance with an initial review through its commercial settlement service. Analysis of legal questions with representation remain the responsibility of independently licensed counsel. The division should appear in the engagement before work begins.

Often we see owners treat the payment as the finish line, though the record determines what the payment accomplished. Ask counsel to review and analyze the filing history before any settlement is signed. When discussing a potential engagement, name the filings that concern the business. Confirm who will request the documents, who will review the legal conditions, and what evidence of completion the file will retain. The owner should also confirm fees with scope. Ensure no negotiation engagement is presumed to include every later filing dispute, even briefly mentioned on an introductory call.

Resist the urge to consider the matter closed when funds leave the account. A resolved balance deserves an accurate record. What the owner authorizes, or leaves authorized through silence, in the weeks after payment determines whether the record ever reflects the resolution. Ensure the final review covers the filings the settlement was meant to retire, in order to deny later counterparties the use of a stale public claim against the business.

FAQ

How much can debt settlement save?
Typical settlements range from 30–60 cents on the dollar, depending on the funder, contract terms, and legal leverage available.
Can I settle if a COJ has been filed?
Yes — but you need legal intervention, not just negotiation. Attorney-coordinated firms can file motions to vacate and stay enforcement.
How long does debt settlement take?
Specialized firms typically resolve cases in 2–6 months — much faster than general debt settlement programs.
Will it affect my credit score?
MCA debt is generally not reported to consumer credit bureaus, so settlement typically doesn't impact your personal credit.
