The answer should respond to the complaint that was served, not the dispute the owner wishes had been filed.
A form copied from another MCA case can misidentify the parties, omit a supported objection, or supply allegations the defendant cannot substantiate.
What the defendant admits, or denies, in the answer shapes the litigation for months.
The seven decisions below organize preparation with counsel. They are not a substitute for the filing requirements of the court.
Obtain the summons, the complaint, the exhibits and the proof of service. Where the complaint was not served with the summons, counsel should assess the procedure for obtaining it.
But the company and the guarantor are not the same defendant. Record every party named rather than assume a response by the owner covers the entity.
Retain the executed financing documents for comparison, since the complaint may refer to an amendment the owner has not yet located. The proof of service deserves its own folder; dates run from it.
A good answer says little. It preserves much. Rarely does a borrowed form fit the case at hand.
Service of an answer or reply shall be made within twenty days after service of the pleading to which it responds. That command from New York law on service of pleadings joins New York law on appearance in setting the period.
The owner should not calculate the deadline solely from the date the papers were read. Different service methods carry different periods, and delivery information with the filed affidavit fixes the starting point. The period is extremely short when the summons arrives alone.
Section 3012 predates electronic filing, and its demand procedure reads like the paper practice it was written for. A defendant served with a summons alone may serve a written demand for the complaint, which extends the time to appear until twenty days after service of the complaint (whether a demand helps or hurts in a given case is a question for counsel).
A requested extension is not an accepted extension. Retain the written stipulation or order on which counsel relies.
Read and compare the financing agreement, the funding record and the payment ledger. Counsel needs a factual basis for responding to the allegations against the business rather than a general statement that the balance is unfair.
The claimed balance should be reconciled against payments, credits and any prior modification. A disagreement about the amount should identify the transactions producing the difference. Do not deny that a document exists only because its legal effect is disputed.
Bring the executed agreement, not your memory of it.
Communications about reconciliation requests or accommodation belong in the file, and this is where most answers fail.
The owner should flag documents missing from the file. A reviewer needs to know whether a gap reflects an unavailable record or an event that never occurred. Label every exhibit before it leaves the office.
New York law on dismissal grounds and waiver rewards early attention and punishes delay. The waiver rules are extremely unforgiving of improvisation.
Before the defendant makes a procedural choice, counsel should examine personal jurisdiction and service. An improper service objection can require further action after it is raised in a pleading.
The balance demanded (which the funder will describe as beyond dispute) must still be reconciled against the ledger. Most buyers of MCA paper know exactly what the payment history will show. They prefer to discuss the contract instead.
A limitations defense requires analysis of the claim and the relevant dates. A defense of payment or release pleaded without documents obscures the positions that deserve attention.
The answer, done properly, is the whole defense in miniature. It is a singular document, and borrowed defenses do not belong in it.
In LG Funding, LLC v. United Senior Properties of Olathe, LLC, a New York appellate court weighed reconciliation, a finite term and bankruptcy recourse in asking whether repayment was absolute. Funders draft these agreements in order to survive exactly that inquiry.
That decision supplies no universal defense. The provisions and the facts must meet the theory counsel proposes.

Simply ensure the owner receives the next procedural dates and understands what records counsel will need. Resist the urge to treat filing as victory. Answering is a step in the litigation, not proof that the claim has ended. Its value lies in the positions preserved and the facts presented, which give the case against you a record the court can evaluate.
