A motion to dismiss an MCA complaint tests the pleading, not the transaction. The price of the advance, the weight of daily debits and the manner of collection may explain why the business stopped paying, and none of those facts supplies the legal defect the court is asked to find.

Five subdivisions of one New York statute carry nearly all of this work. Each asks a different question and each demands its own documents.

1. Documentary Evidence Under CPLR 3211(a)(1)

The statute permits dismissal where a defense is founded upon documentary evidence. That phrase opens CPLR 3211(a)(1), and the full text of CPLR 3211 repays reading before any exhibit is attached, because not every paper the business kept qualifies as the kind of document the subdivision contemplates.

Collect and organize the executed agreement with every amendment, waiver and side letter. The draft the broker emailed during solicitation, if we are being precise, is often not the version the owner signed at funding, and the motion must rest on the instrument that governs the obligation alleged in the complaint.

Payment ledgers and settlement correspondence can raise a separate question about what remains due. Suppose the ledger shows forty debits and the complaint credits thirty six; the gap identifies an issue without deciding the motion.

The documentary standard is extremely unforgiving of summaries. Counsel should explain what each document proves about the pleaded claim, since a general charge that the funder ignored the contract leaves the connection between paper and pleading for the court to guess.

2. Jurisdiction Over the Claim and the Defendant

Two further subdivisions divide a question owners merge without noticing. CPLR 3211(a)(2) concerns jurisdiction over the subject of the action, while CPLR 3211(a)(8) concerns jurisdiction over the person of the defendant, and a strong objection under one does nothing for the other.

The summons arrives on an ordinary afternoon. Nothing about the day suggested it.

An out of state address does not defeat every New York action. Forum language, consent provisions, place of performance and service history each enter the analysis, so the file should hold the summons, the affidavit of service and the agreement before counsel selects the objection.

How the defendant first responds can narrow what remains available. The rule contains waiver provisions, and an objection mentioned in passing may involve a further motion deadline the owner has not calendared.

Most papers in this market are drafted to extract consent rather than to survive scrutiny. The company and the guarantor need separate assessments under a shared caption, because a forum that can hear the claim against the business may have no hold on the individual who guaranteed it.

3. Payment, Release and the Other Listed Bars

The fifth subdivision catalogs the bars that can defeat maintenance of an action: arbitration and award, collateral estoppel, discharge in bankruptcy, infancy or other disability, payment, release, res judicata, limitation of time, frauds. But the list is a menu, not an argument, and counsel must identify the bar the records support and connect it to the cause pleaded.

Payment requires a reconciliation of the claimed balance against transfers made with credits applied. A partial remittance is not satisfaction unless the documents give it that effect, and the age of the original funding is one date among several a limitations analysis needs. There are further refinements, though in practice they tend to confirm the need for dates rather than excuse it.

Often we see releases that promise more than their conditions permit. The release must appear in executed form, with parties, covered obligations, conditions and effective date all legible, since a promise to release effective upon final payment differs from an unconditional release already delivered, and a release running to the company (which enthusiasts for quick settlement sometimes read as covering everyone named in the caption) may leave the individual claim untouched.

I have yet to see a limitations defense succeed without a calendar attached to it. The paperwork question is the one that decides things, and counsel should read the arbitration and award wording rather than invoke the heading as an automatic ground.

4. Failure to State a Cause of Action

In LG Funding, LLC v. United Senior Properties of Olathe, LLC, a New York appellate court weighed reconciliation practice, the finiteness of the term and recourse in bankruptcy when it examined whether repayment was absolute. Its factors cut in both directions depending on the agreement at hand.

CPLR 3211(a)(7) asks whether the pleading states a cognizable cause, not whether the price was high. A characterization argument belongs here only when tied to the executed terms and the theory the complaint advances, though a finding of absolute repayment on one funder form predicts nothing about the next.

The agreement controls the dispute. The agreement is the last document anyone opens.

5. Another Action Pending Between the Same Parties

A second suit over the same debt creates a different problem from a defective pleading. CPLR 3211(a)(4) addresses another action pending between the same parties for the same cause, and the statute permits the court to make such order as justice requires instead of dismissing, so the comparison of the two proceedings becomes the whole motion.

Counsel should ensure the comparison uses the pleadings and the docket from the other case. Overlapping subject matter does not establish identity of parties or causes, and a collection letter, a threatened filing or a demand for payment is not a pending action.

A docket carrying two cases on one debt resembles a house with two front doors. Every entrance admits a different visitor, and counsel should know who entered where before asking either court to close a door. Whether courts outside New York would treat the overlap the same way is a question I cannot answer from this desk.

6. Settlement Review While the Motion Is Pending

Steps the owner takes, or does not take, in the first week after service shape both tracks at once. Delancey Street offers a debt settlement review for MCA obligations with a free confidential initial discussion, and the company is a settlement company, not a law firm, while independent counsel handles the motion and the legal work.

Resist the urge to answer the complaint with a letter explaining the business history. Anything the owner tells the creditor, even briefly, can narrow the options counsel is trying to preserve, so simply route every communication through counsel once the motion is pending, and counsel ensures the court response and the negotiation do not work at cross purposes.

Every complaint tells the story the funder prefers to litigate, and the motion tests that story against the documents. What survives both readings is smaller than either version, and that remainder is where the case is decided.

FAQ

How much can debt settlement save?
Typical settlements range from 30–60 cents on the dollar, depending on the funder, contract terms, and legal leverage available.
Can I settle if a COJ has been filed?
Yes — but you need legal intervention, not just negotiation. Attorney-coordinated firms can file motions to vacate and stay enforcement.
How long does debt settlement take?
Specialized firms typically resolve cases in 2–6 months — much faster than general debt settlement programs.
Will it affect my credit score?
MCA debt is generally not reported to consumer credit bureaus, so settlement typically doesn't impact your personal credit.
